Contemporaneously with the execution of this Agreement, each of the Major Stockholders have entered into Voting Agreements with Buyer (in the form of Exhibit A attached hereto) with respect to the voting of their Company Common Stock and which Voting Agreements prohibit the Major Stockholders from selling or transferring their Company Common Stock prior to the Effective Time.
The execution, delivery and performance of this Agreement, the appointment of the Purchaser and the Parent as the Major Stockholder's proxy and the consummation of the transactions contemplated hereby have been duly authorized by all necessary action on the part of the Major Stockholder.
None of the Major Stockholder's Existing Shares is subject to any voting trust or other agreement or arrangement with respect to the voting of such Shares.
