Management Stockholder means a Stockholder other than a Sponsor or a Sponsor Affiliate who is employed by, or serves as a consultant or director to, the Company or any of its subsidiaries at the time such Person acquired Company Shares or Options (or the predecessors thereof prior to the Reclassification) and such Stockholder’s permitted Transferees.
