Seller Records definition

Seller Records means all pre-clinical, clinical and process development data, studies, reports and books and records in the possession of Seller or its Affiliates relating to research or development of hormone-related sterols for treating medical conditions by Seller or its Affiliates.
Seller Records means the original organizational books and records of Seller, along with copies (whether in electronic or paper form) of the accounting, financial and tax records of Seller and the original documents related to the equity transactions of Seller for all periods prior to the Closing Date. Included in the definition of “Seller Records” shall be a license from Purchaser permitting Seller to retain a copy of any accounting or database management software being conveyed to Purchaser as a part of the Purchased Assets.

Examples of Seller Records in a sentence

  • Without cost to Seller, PSC shall retain all books and records of Seller ("Records") transferred to it pursuant to this Agreement for the greater of four years from the Closing Date or such longer periods of time as required by applicable statutes, rules and regulations.

  • Within 30 days of Closing Seller shall deliver to Buyer copies of all Seller Records.

  • The freight costs and costs of counting and packing the Seller Records will be borne by Buyer.

  • Seller shall pay the costs of packaging materials and will provide assistance with packing the Seller Records.

  • We believe in compassion, therefore we will respect differences, listen to each other, and hold the people we serve in mind.

  • If Seller retains any original Seller Records, the Buyer will have the right to review those original Seller Records during normal business hours.

  • Seller shall keep and maintain the Seller Retained Records for a period of three (3) years after the Closing Date, and shall allow Buyer access during business hours to, and copies of, the Seller Records during such period, as Buyer may reasonably request.

  • No later than thirty (30) days after Closing, Seller will deliver to Buyer (at a location designated by Buyer) the originals or legible copies of the Seller Records relating to the Assets, the Seller is transferring to Buyer.

  • Upon Buyer’s request, Seller shall deliver to Buyer (or Buyer’s designated agents and representatives, including any of Buyer’s authorized retail or strategic partners) (hereinafter, “Buyer Parties”) all data, records, and other materials (including Seller Records) to evidence testing, inspection, compliance with this Agreement, the Code of Conduct, Logistics Guide, and/or applicable law, including without limitation, anti-bribery laws, anti-corruption laws, and quality assurance actions.

  • After such period, Seller will give Buyer thirty (30) days' notice of Seller's intention to destroy any Seller Records, whereby Buyer xxxx have the right to obtain such Seller Records from Seller.


More Definitions of Seller Records

Seller Records means all books, documents and records owned by the Seller or the Parent, which primarily relate to the Business but which are not included in the Purchased Assets.
Seller Records has the meaning given in Clause 17.1(b) (Information,
Seller Records means Seller’s accounting, business, advertiser and financial records to the extent that they relate to the Transferred Assets. In addition, the advertiser records included in the Seller Records must include in the leads and click data, the identity of the “advertiser” (i.e., the lead buyer, including when Seller is using the lead itself).
Seller Records has the meaning set forth in Section 2.1(f) below.
Seller Records means all books, records, files and data of the Seller relating to or used in connection with the Assets (to the extent permitted by applicable law), to the extent that such books, records, files and data do not contain confidential information of the Seller that are not related to the Assets and in which case, the Seller shall store the information related to the Assets in a separate file and provide the same to the Purchasers.

Related to Seller Records

  • Computer Records means the computer records generated by the Servicer that provide information relating to the Loans and that were used by the Originator in selecting the Loans conveyed to the Trust Depositor pursuant to Section 2.01 (and any Substitute Loans conveyed to the Trust Depositor pursuant to Section 2.04).

  • Servicing Records shall have the meaning provided in Section 11.14(b) hereof.

  • Business Records means all files, documents, instruments, papers, books, reports, records, tapes, microfilms, photographs, letters, ledgers, journals, financial statements, technical documentation (design specifications, functional requirements, operating instructions, logic manuals, flow charts, etc.), user documentation (installation guides, user manuals, training materials, release notes, working papers, etc.), Tax Returns, other Tax work papers and files and other documents in whatever form, physical, electronic or otherwise.

  • Client Records has the meaning set forth in Section 3.14.

  • Pupil Records Means both of the following: (1) Any information that directly relates to a pupil that is maintained by LEA and (2) any information acquired directly from the pupil through the use of instructional software or applications assigned to the pupil by a teacher or other local educational LEA employee.

  • Accounting Records means the general ledger and subsidiary ledgers and supporting schedules which support the general ledger balances.

  • Vital records means certificates or reports of birth, death, fetal death, marriage, dissolution, annulment, and related data.

  • Transferred Books and Records means all of Seller's customer or subscriber lists and records, accounts and billing records, plant and continuing property records, plans, blueprints, specifications, drawings, surveys, engineering reports, personnel records of Transferred Employees (where applicable), tariffs, orders or other material correspondence or records relating to regulation of the Business by any Governmental Authority, and all other documents, computer data and records, in each case relating primarily to the operation of the Business, except for the Retained Books and Records.

  • Records means any written or recorded information, regardless of physical form or characteristics, which is produced or acquired by the Party in the performance of this agreement. Records produced or acquired in a machine readable electronic format shall be maintained in that format. The records described shall be made available at reasonable times during the period of the Agreement and for three years thereafter or for any period required by law for inspection by any authorized representatives of the State or Federal Government. If any litigation, claim, or audit is started before the expiration of the three-year period, the records shall be retained until all litigation, claims or audit findings involving the records have been resolved.

  • Student Records Means both of the following: (1) Any information that directly relates to a student that is maintained by LEA and (2) any information acquired directly from the student through the use of instructional software or applications assigned to the student by a teacher or other LEA employee. For the purposes of this Agreement, Student Records shall be the same as Educational Records, and Covered Information, all of which are deemed Student Data for the purposes of this Agreement. Service Agreement: Refers to the Contract or Purchase Order to which this DPA supplements and modifies.

  • Tax Records means any Tax Returns, Tax Return workpapers, documentation relating to any Tax Contests, and any other books of account or records (whether or not in written, electronic or other tangible or intangible forms and whether or not stored on electronic or any other medium) required to be maintained under the Code or other applicable Tax Laws or under any record retention agreement with any Tax Authority.

  • Files and Records means all files and records of Seller relating to the Business, whether in hard copy or magnetic or other format including customer and supplier lists and records; equipment maintenance records; equipment warranty information; plant plans, specifications and drawings; sales and advertising material; computer software; technical and research analyses; engineering, sales, marketing and other studies, data and plans; bid information; quality assurance records; and records relating to those employees of Seller who may become employed by Purchaser following the Closing.

  • Books and Records means all books, records, board minutes, contracts, licenses, insurance policies, environmental audits, business plans, files, computer files, computer discs and other data and software storage and media devices, accounting books and records, financial statements (actual and pro forma), filings with Governmental Authorities and any and all records and instruments relating to the Collateral or Borrower's business.

  • Buyer Data means all data, records, files, information or content, including text, sound, video, images and software, that is (a) input or uploaded by Buyer or its Users to or collected, received, transmitted, processed, or stored by Buyer or its Users using the Software or SaaS Service in connection with this Agreement, or (b) derived from (a). Buyer Data is Confidential Information of Buyer.

  • Public records means all writings and recordings that consist of letters, words or numbers, or their equivalent, set down by handwriting, typewriting, printing, photostatting, photography, magnetic impulse, optical or magneto-optical form, mechanical or electronic recording or other form of data compilation, however stored, and regardless of physical form or characteristics, prepared or owned by, or in the possession of a public body or its officers, employees or agents in the transaction of public business.

  • Financial Records means any document or summary of information contained in a document, including electronic documents, that contains information about the financial activities or position of a person including, but not limited to, information about the assets, balance sheets, budgets, cash flow, earnings, revenue, expenditures, income, investments, losses, liabilities, payroll, profits, retained earnings, or taxes.

  • Receivables Records means (i) all original copies of all documents, instruments or other writings or electronic records or other Records evidencing the Receivables, (ii) all books, correspondence, credit or other files, Records, ledger sheets or cards, invoices, and other papers relating to Receivables, including, without limitation, all tapes, cards, computer tapes, computer discs, computer runs, record keeping systems and other papers and documents relating to the Receivables, whether in the possession or under the control of Grantor or any computer bureau or agent from time to time acting for Grantor or otherwise, (iii) all evidences of the filing of financing statements and the registration of other instruments in connection therewith, and amendments, supplements or other modifications thereto, notices to other creditors or secured parties, and certificates, acknowledgments, or other writings, including, without limitation, lien search reports, from filing or other registration officers, (iv) all credit information, reports and memoranda relating thereto and (v) all other written or nonwritten forms of information related in any way to the foregoing or any Receivable.

  • Property records means the records created and maintained by the contractor in support of its stewardship responsibilities for the management of Government property.

  • Computer Tape means the computer tapes or other electronic media furnished by the Servicer to the Issuer and its assigns describing certain characteristics of the Receivables as of the Cutoff Date.

  • Sellers has the meaning set forth in the preamble.

  • Educational records means: those official records, files, and data directly related to a student and maintained by the school or local education agency, including but not limited to records encompassing all the material kept in the student's cumulative folder such as general identifying data, records of attendance and of academic work completed, records of achievement and results of evaluative tests, health data, disciplinary status, test protocols, and individualized education programs.

  • Personnel record means a record kept by the employer that identifies the employee, to the extent that the record is used or has been used, or may affect or be used relative to that employee's qualifications for employment, promotion, transfer, additional compensation, or disciplinary action. A personnel record shall include a record in the possession of a person, corporation, partnership, or other association who has a contractual agreement with the employer to keep or supply a personnel record as provided in this subdivision. A personnel record shall not include:

  • Transferred Assets means the assets, rights and properties of the Sellers that the Purchasers shall acquire as of the Closing.

  • Closing Statement means the Closing Statement in the form on Annex A attached hereto.

  • Account Records is defined in Section 1(a)(i) of the Administration Agreement.
