Purchaser and Sellers further agree, upon request, to use commercially reasonable efforts to obtain any certificate or other document from any Governmental Authority or any other Person as may be necessary to mitigate, reduce or eliminate any such Transfer Taxes.
Except as expressly provided in this Section 6.7, the Sellers shall remain solely responsible for any and all Liabilities arising under the Seller Benefit Plans, and Purchaser shall not assume or otherwise acquire any of the Seller Benefit Plans.
