The Administrative Agent and the Security Trustee shall not be responsible for the negligence or misconduct of any sub-agents except to the extent that a court of competent jurisdiction determines in a final and non-appealable judgment that the Administrative Agent and/or the Security Trustee, as applicable, acted with gross negligence or willful misconduct in the selection of such sub-agent.
Thereupon, on the Pledgor’s reasonable request and at its cost and expense, the Security Trustee shall execute proper instruments, acknowledging satisfaction of and discharging this Agreement, and shall redeliver to the Pledgor any Credit Security then in its possession.
Nothing in this Section 13 limits the right of the Security Trustee or any other Secured Party to bring proceedings against the Pledgor in connection with this Agreement in any other court of competent jurisdiction or concurrently in more than one jurisdiction.
The Administrative Agent, the Security Trustee and any such sub-agent may perform any and all of its duties and exercise its rights and powers by or through their respective Related Parties.
The Pledgor is entering into this Agreement with the Security Trustee, for the benefit of the Secured Parties, in connection with the Credit Agreement (as defined below) and the Existing Intercreditor Agreement (as defined below).
