Relevant Competitor definition

Relevant Competitor means an undertaking which at the Date of the Request: (1) is licensed in Ireland or elsewhere to operate as a credit institution in Ireland; (2) is not in receipt of State Aid (i.e. banks which have received State Aid and which are still in the restructuring period are not considered "Relevant Competitors"; however, banks which have received State Aid but whose restructuring period has ended, are considered "Relevant Competitors"); and (3) has (by virtue of all related undertakings) a Market Share of less than [10-20]% of stock or flow in Ireland of a Relevant Product market in which the Group has a Market Share above the Threshold (of stock or flow, if applicable) of the Relevant Product market, based on a Market Share measurement by an independent external source proposed by the Group and approved by the Monitoring Trustee;
Relevant Competitor means an undertaking licensed in Ireland or elsewhere to operate as a credit institution in Ireland and which has (including by virtue of all related undertakings) at the Date of the Request a Market Share of less than 15 per cent of the Relevant Product markets (as defined by MORI) relating to the Relevant Products as determined by the most recent MORI survey.
Relevant Competitor means an undertaking licensed in Ireland or elsewhere to operate as a credit institution in Ireland and which has (by virtue of all related undertakings) at the Date of the Request a Market Share of less than 15% of stock of the Relevant Product market based on a Market Share measurement by an independent external research source, including regulatory returns proposed by BOI and approved by the Monitoring Trustee For the avoidance of doubt, the Relevant Competitor definition in paragraph 1.49 in Term Sheet N546/2009 shall be deleted in its entirety and replaced, with immediate effect, with this definition;

Such remedy shall not be deemed to be the exclusive remedy in the event of breach (or threatened breach) by you of any of the covenants or agreements set forth in this Annex II, but shall be in addition to all other remedies available to the Company at law or in equity. Notwithstanding anything to the contrary contained in the Agreement, in the event you violate the covenants and agreements set forth in this Annex II, in addition to all other rights and remedies available to the Company, the Company shall have no further obligation to pay you any severance benefits or to provide you with any other rights or benefits to which you would have been entitled pursuant to the Agreement or the severance agreement had you not breached the covenants and agreements set forth in this Annex II. The restrictions contained in this Annex II shall be extended on a day-for-day basis for each day during which you violate the provisions of this Annex II in any respect.
