Upon the Effective Date, the Defendants will be forever barred and enjoined from commencing, instituting, prosecuting or continuing to prosecute any action or other proceeding in any court of law or equity, arbitration tribunal, or administrative forum, asserting the Releasing Defendants’ Claims against any of the Released Plaintiffs and Class Members, and Federal and State Lead Counsel.
Each Releasing Defendant shall be barred from initiating, asserting, or prosecuting any Released Claims against the Released Plaintiffs.
Subject to Court approval, and as described more fully in ¶¶22-25 and 54-60 below, Plaintiffs, on behalf of the Settlement Class, have agreed to settle all Released Plaintiffs' Claims (as defined in ¶57 below) against Defendants and other Defendants' Releasees (as defined in ¶55 below) in exchange for a settlement payment of $37 million in cash (the “Settlement Amount”) to be deposited into an escrow account.
Upon the Effective Date, the Releasing Defendants shall be deemed to waive, release, and forever discharge the Released Plaintiffs from all Released Claims.
The obligations incurred pursuant to this Stipulation are in consideration of the full and final disposition of the Action as against all Defendants; and shall fully, finally and forever compromise, settle, release, resolve, relinquish, waive, discharge and dismiss with prejudice, the Action and any and all Released Plaintiffs' Claims against each and all of the Defendants' Releasees upon the occurrence of the Effective Date.
