The obligations incurred pursuant to this Agreement shall be in full and final disposition of any and all Released Plaintiffs’ Claims as against all Released Defendants.
The Escrow Agent, through the Settlement Fund, shall indemnify and hold each of the Released Defendants and their counsel harmless for Taxes and Tax Expenses (including, without limitation, Taxes payable by reason of any such indemnification).
Released Defendants are not and shall not be obligated to compute, estimate, or pay any taxes on behalf of any Plaintiff, any Settlement Class Member, Class Counsel, and/or the Settlement Administrator.
Upon the Effective Date, the Releasing Plaintiffs and Settlement Class Members will be forever barred and enjoined from commencing, instituting, prosecuting or continuing to prosecute any action or other proceeding in any court of law or equity, arbitration tribunal, or administrative forum, asserting the Released Claims against any of the Released Defendants, their Related Parties, and their respective counsel.
Released Defendants do not make and have not made any representations regarding the taxability of any Cash Payments or any other payments made pursuant to this Agreement or the Settlement.
