Placement Options definition

Placement Options means the Options (exercisable at $0.06 on or before 31 December 2023) attaching to the Placement Shares on a 2 for 3 basis and the subject of Resolution 1, the complete terms of which are provided in Annexure A;
Placement Options means the 14,799,709 options agreed to be issued by the Company, subject to shareholder approval, as part of the placement announced to the ASX on 29 January 2004. Those options, when issued, will have the same exercise price, expiry date and other terms as the New Options comprised in the Rights Issue
Placement Options means two free unlisted options (a Tranche 1 option and a Tranche 2 option) to acquire one fully paid ordinary share in the Company for every four Placement Shares allotted to the investor, to be issued for nil cash consideration. Each option will entitle the investor to subscribe for one ordinary share in the Company. The options will be issued with an exercise price of: Tranche 1 — A$1.25 and Tranche 2 - A$2.00 and otherwise on the terms and conditions set out in Exhibit B.

The Company expects to issue all of the Placement Shares and Placement Options on the same date, however the exact date of issue is unknown at this stage.

The Placement Options are attaching to the Shares, hence nil consideration(d) The Shares will rank equally in all respects with the existing Shares on issue.

If Shareholder approval is not obtained for the grant of the Placement Shares and Placement Options under the Tranche 2 Placement, then the Company will not proceed with the Tranche 2 Placement.

The proposed issue of the Placement Options does not fall within any of the exceptions set out in Listing Rule 7.2 and exceeds the 15% limit in Listing Rule 7.1. It therefore requires the approval of Shareholders under Listing Rule 7.1.

Accordingly, no funds will be raised from the issue of the Placement Options.

All shares were entitled to free attaching options on a 1:2 basis, exercisable at $0.06 each on or before 31 March 2019 (Listed Placement Options), which were issued on 22 January 2018.

Placement Options for Students Ages Six Through Twenty-oneEducational time spent in age-appropriate community-based settings that include individuals with and without disabilities, such as college campuses or vocational sites, should be counted as time spent inside the general education classroom.

Placement Options upon enrollment:Upon arrival enrollment will do intake, and assign school placement.

This will give the holders of Placement Options the opportunity to exercise their Placement Options prior to the date for determining entitlements to participate in any such issue.

More Definitions of Placement Options

Placement Options means Options with an exercise price of 15 cents and an expiry date of 3 years from their date of issue, the full terms of which are set out in Schedule 1.

Related to Placement Options

Investment Options means the investment options, as determined from time to time by the Committee, used to credit earnings, gains and losses on Account balances.
Management Options means the options to be issued by Reorganized ICG to the Management Option Plan Participants to purchase New Common Shares pursuant to the provisions of the Management Option Plan.
Investment Option means the Guaranteed Interest Option, a Separate Account, or a Variable Investment Option of a Separate Account.
Parent Options means options to purchase shares of Parent Common Stock from Parent (whether granted by Parent pursuant to the Parent Option Plans, assumed by Parent or otherwise).
Replacement Option means an Option that is granted when a Participant uses a Common Share held or to be acquired by the Participant to exercise an Option and/or to satisfy tax withholding requirements incident to the exercise of an Option.
Rollover Options has the meaning specified in the preamble hereto.
Over-Allotment Option means the option of the Underwriters to purchase up to an additional 15 per cent of the firm units (as described in the Articles) issued in the IPO at a price equal to US$10 per unit, less underwriting discounts and commissions.
Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).
Option Stock means Stock issued or issuable by the Company pursuant to the valid exercise of an Option;
Parent Option means any option to purchase shares of Parent Common Stock issued pursuant to the terms of Section 1.6(c) hereof in connection with the assumption of a Company Option.
Offering Shares means the shares of Common Stock issued to the Purchasers pursuant to the Subscription Agreement and any shares of Common Stock issued or issuable with respect to such shares upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing.
Option Units means the Common Units that the Partnership will agree to issue upon an exercise of the Over-Allotment Option.
Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.
Option Shares shall have the meaning ascribed to such term in Section 2.2(a).
SARS means the South African Revenue Service.
Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

Company Stock Options has the meaning set forth in Section 3.1(g).
Offered Shares has the meaning set forth in Section 3.02(a).
Unit Shares means the Common Shares comprising part of the Units;
Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.
Rights Offering Participants means those Persons who duly subscribe for Rights Offering Shares in accordance with the Rights Offering Procedures.
Plan Shares means shares of Common Stock held in the Trust which are awarded or issuable to a Participant pursuant to the Plan.
Bonus Shares means Shares that are awarded to a Grantee without cost and without restrictions in recognition of past performance (whether determined by reference to another employee benefit plan of the Company or otherwise) or as an incentive to become an employee, director or consultant of the Company or a Subsidiary.
Participating Shares means shares that entitle their holders to participate without limitation in distributions.
Firm Shares has the meaning given to it in the first paragraph of this Agreement;
