Placement Options definition

Placement Options means the Options (exercisable at $0.05 on or before 31 December 2023) attaching to the Placement Shares on a 2 for 3 basis and the subject of Resolution 3, the complete terms of which are provided in Annexure A;
Placement Options means 4,807,692 Options offered to the Placement Participants under the Placement Offer, with the ability to be exercised into one Share on payment of the Exercise Price.
Placement Options means 272,727,273 Options offered to the Placement Participants under the Placement Option Offer.

  • The proposed issue of the Placement Options does not fall within any of the exceptions set out in Listing Rule 7.2 and exceeds the 15% limit in Listing Rule 7.1. It therefore requires the approval of Shareholders under Listing Rule 7.1.

More Definitions of Placement Options

Placement Options means the 14,799,709 options agreed to be issued by the Company, subject to shareholder approval, as part of the placement announced to the ASX on 29 January 2004. Those options, when issued, will have the same exercise price, expiry date and other terms as the New Options comprised in the Rights Issue
Placement Options means two free unlisted options (a Tranche 1 option and a Tranche 2 option) to acquire one fully paid ordinary share in the Company for every four Placement Shares allotted to the investor, to be issued for nil cash consideration. Each option will entitle the investor to subscribe for one ordinary share in the Company. The options will be issued with an exercise price of: Tranche 1 — A$1.25 and Tranche 2 - A$2.00 and otherwise on the terms and conditions set out in Exhibit B.

Related to Placement Options

  • Investment Options means the investment options, as determined from time to time by the Committee, used to credit earnings, gains and losses on Account balances.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • SARS means the South African Revenue Service.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • option-based award means an award under an equity incentive plan of options, including, for greater certainty, share options, share appreciation rights, and similar instruments that have option-like features;

  • Company Stock Options means issued and outstanding options to acquire Company Common Stock which were granted under the Company Stock Option Plans.

  • Offered Shares has the meaning set forth in Section 3.02(a).

  • Unit Shares means the Common Shares comprising part of the Units;

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Rights Offering Participants means those Persons who duly subscribe for Rights Offering Shares in accordance with the Rights Offering Procedures.

  • Plan Shares means the total number of Common Shares which may be reserved for issuance as Optioned Shares under the Plan as provided in §2.2;

  • Bonus Shares means Shares that are awarded to a Grantee without cost and without restrictions in recognition of past performance (whether determined by reference to another employee benefit plan of the Company or otherwise) or as an incentive to become an employee of the Company or a Subsidiary.
