All offers and sales of the Units hereunder will be made in accordance with this Agreement and in compliance with all applicable laws, including Securities Laws (as defined herein). In consideration of the services to be rendered by the Underwriters in connection with the Offering, the Corporation hereby agrees to pay to the Underwriters the Commission (as defined herein) and to issue and deliver to the Underwriters the Compensation Options (as defined herein) in such amounts and with such terms as set out in Section 19 hereof. The Corporation has also agreed to pay to the Lead Underwriter the Work Fee (as defined herein) which may be satisfied in cash or through the issuance of Work Fee Units (as defined herein) as set out in Section 19 hereof.
