Parent Reference Price definition

Parent Reference Price means the average of the volume weighted averages of the trading prices of Parent Common Shares as reported on the consolidated transaction reporting system for securities traded on the NYSE (as reported in Bloomberg Financial Markets or, if not reported thereby, such other authoritative source as the parties shall agree in writing) for each of the 10 consecutive full trading days ending on the third trading day prior to the Closing Date.

("NYSE") (as reported in Bloomberg Financial Markets or, if not reported thereby, another authoritative source as the parties shall agree in writing) for the 10 consecutive full trading dates (the "Reference Period") ending on the second trading day prior to the Closing Date (or, in the event that (x) the Company elects to delay Closing pursuant to Section 1.10(c) or (y) the Termination Notice is delivered by the Company pursuant to Section 7.1(h), then in each case the second trading day prior to the date that would have been the Closing Date as determined pursuant to Section 1.2 hereof without application of delay pursuant to Section 1.10(c) or the proviso contained in the first sentence of such Section 1.2, as applicable), appropriately adjusted for any stock splits, reverse stock splits, stock dividends, recapitalizations or other similar transactions. The Parent Reference Price shall be calculated to the nearest one-hundredth of one cent.

  • Nodal Reference Price at each location shall mean the 97th percentile price differential between day-ahead and real-time prices experienced over the corresponding two-month reference period in the prior calendar year. Reference periods will be Jan-Feb, Mar-Apr, May- Jun, Jul-Aug, Sept-Oct, Nov-Dec. For any given current-year month, the reference period months will be the set of two months in the prior calendar year that include the month corresponding to the current month. For example, July and August 2003 would each use July- August 2002 as their reference period. No-load Cost:

  • Final Reference Pricei means the official closing price of the Underlyingi on the Determination Date;

If the Closing Sale Price cannot be calculated for a security on a particular date on any of the foregoing bases, the Closing Sale Price of such security on such date shall be the fair market value as mutually determined by the Company and the Holder. If the Company and the Holder are unable to agree upon the fair market value of such security, then such dispute shall be resolved in accordance with the procedures in Section 13. All such determinations shall be appropriately adjusted for any stock dividend, stock split, stock combination or other similar transaction during such period.

  • Reference Value means the last reported sales price of the shares of Common Stock for any twenty (20) trading days within the thirty (30) trading-day period ending on the third trading day prior to the date on which notice of the redemption is given.
