Closing Stock Price definition

Closing Stock Price means the Stock Price as of the last day of any Performance Measurement Period.
Closing Stock Price means the average closing price of one share of Common Stock for the twenty consecutive trading days that include and immediately precede the last day of the Performance Period.
Closing Stock Price means, with respect to Stock, the closing sales price per share on the applicable date quoted on the NYSE, or if there are no sales on such date, for the last preceding date on which there were sales of Stock, as determined by the Committee. With respect to the stock of a company in the Peer Group, “Closing Stock Price” means, (i) the closing sales price per share on the applicable date as quoted or reported on such national securities exchange or NASDAQ, or if there are no sales on such date, for the preceding date on which there were sales of stock, as determined by the Committee.

  • In the event of a Change in Control, the Performance Period shall be terminated as of the Change in Control and the Closing Stock Price shall be deemed to be the price per share of Common Stock received by stockholders in the Change in Control, provided, however, that in the event of a Change in Control in which stockholders do not receive a price per share for their Common Stock, the Closing Stock Price shall be determined in accordance with the procedures set forth in Section 2.

Closing Stock Price means, the average of the closing sale prices of a share of Acquiror Common Stock as reported on the NYSE for the ten (10) consecutive trading days ending with and including the Closing Date.
Closing Stock Price of a share of Common Stock shall be the closing quotation on the New York Stock Exchange (“NYSE”) for the applicable date (or an applicable substitute exchange or quotation system if the NYSE is no longer applicable).

Closing Stock Price means the average closing price of the Parent Common Stock on Nasdaq for the five (5) trading day period ending two (2) trading days prior to the Closing Date.
