Replacement Reference Rate means a reference rate which is:

  • If the Independent Adviser is unable to or otherwise does not determine a Replacement Reference Rate or any of the other matters referred to above, then the Replacement Reference Rate will be the same rate as the rate applied in the previous period when the relevant Reference Rate was available (and thus becomes a fixed rate until a new Replacement Reference Rate is determined).

  • The Trustee, Paying Agent and Calculation Agent shall not be required to participate in the determination or selection of the Replacement Reference Rate, any Adjustment Spread or Benchmark Adjustments and shall not be required to investigate or verify the adequacy, accuracy or sufficiency of such, nor shall the Trustee, Paying Agent and the Calculation Agent be responsible for determining what is customary or prevailing in the market at such time.

  • None of the Trustee, the Paying Agent or the Calculation Agent shall be responsible or liable for any action or inaction from the Issuer or (if applicable) the Rate Determination Agent or its (or their) determination of the Replacement Reference Rate, any Benchmark Adjustments or other related changes.

  • The sum of the Replacement Reference Rate and the Adjustment Spread shall in no event be less than 0.0%.

Replacement Reference Rate means, in respect of a Reference Rate, an index, benchmark or other price source that the Calculation Agent determines to be a commercially reasonable alternative for such Reference Rate, provided that the Replacement Reference Rate must be:

"RFR Replacement Event" means, in relation to an RFR:
