Notwithstanding anything to the contrary contained in this Agreement, the representations and warranties set forth in this Section 6(c) shall not be made by the Company as of the date of this Agreement.

As of each Applicable Time occurring on or after the date of the first Placement Notice hereunder, the Company shall have delivered to Cowen one complete copy of the Registration Statement and a copy of each consent and certificate of experts filed as a part thereof, and conformed copies of the Registration Statement (without exhibits) and the Prospectus, as amended or supplemented, in such quantities and at such places as Cowen has reasonably requested.

The Company has delivered to Cowen one complete copy of the Registration Statement and a copy of each consent and certificate of experts filed as a part thereof, and conformed copies of the Registration Statement (without exhibits) and the Prospectus, as amended or supplemented, in such quantities and at such places as Cowen has reasonably requested. The Registration Statement, the Prospectus, any “issuer free writing prospectus” or any amendment or supplement thereto, and the documents incorporated by reference in the Registration Statement, the Prospectus or any amendment or supplement thereto, when such documents were or are filed with the Commission under the Securities Act or the Exchange Act or became or become effective under the Securities Act, as the case may be, conformed or will conform in all material respects with the requirements of the Securities Act and the Exchange Act, as applicable. The Prospectus delivered to Cowen for use in connection with the sale of the Placement Shares pursuant to this Agreement will be identical to the versions of the Prospectus created to be transmitted to the Commission and the Canadian Securities Administrators for filing via EXXXX (except to the extent permitted by Regulation S-T) and SEDAR, as applicable. Moreover, the Company is a reporting issuer in Ontario, and to the knowledge of the Company is in good standing under applicable laws and regulations in such jurisdiction (including the Securities Act (Ontario) and the rules, regulations and orders made thereunder) and the rules and policies of the Toronto Stock Exchange (collectively, “Canadian Securities Laws”); is not in default in any material respect of any requirement of Canadian Securities Laws and is not included in a list of defaulting reporting issuers maintained by the applicable securities commissions in Canada. In particular, without limiting the foregoing, to the knowledge of the Company, the Company is in compliance at the date hereof with its obligations to make timely disclosure of all material changes to its business. The Company is in compliance with the certification requirements contained in National Instrument 52-109 – Certification of Disclosure in Issuers’ Annual and Interim Filings with respect to the Company’s annual and interim filings with the applicable securities regulators in Canada.

The Prospectus delivered to Cowen for use in connection with the sale of the Placement Shares pursuant to this Agreement will be identical to the versions of the Prospectus created to be transmitted to the Commission for filing via XXXXX, except to the extent permitted by Regulation S-T.
