Training Materials Clause Samples

Training Materials. Franchisor may, from time to time, provide or make available to Franchisee training materials and equipment for providing training for Franchisee's manager(s) and employees. Franchisor may charge a reasonable fee for such materials and equipment. Franchisee agrees that all such materials are Trade Secrets pursuant to this Agreement. Franchisee agrees to require all of its managers and employees, as applicable, to successfully complete any such training program(s) if Franchisor designates them as mandatory.

Training Materials. Boeing will provide training Materials will be provided for each student (Training Materials). In addition, if requested by Customer, one complete set of Training Materials will be provided for use in Customer's own training program. Training Materials may be used only for either (i) the individual student's reference during Boeing provided training and for review thereafter or (ii) Customer's provision of training to individuals directly employed by the Customer.

Training Materials. At any time during the Contract Term of this MSA, USAC may request, and Vendor shall provide, copies of training materials prepared by Vendor, and shall provide to USAC staff the same or similar training as Vendor provides to its staff for purposes of delivering the Services.

Training Materials. The parties’ designated experts will be afforded an opportunity, prior to the use of training materials and/or training bulletins required under this Agreement, to review and comment on all such training materials. DOCCS will give full consideration to all such comments received within 15 days after the proposed training materials are provided to the parties’ experts. The final version of all training materials shall be approved by DOCCS in its discretion and shall be shared with Plaintiffs’ counsel and the experts.

Training Materials. Boeing will provide Buyer with a narrative description defining the expected time to teach the various differences between the first Aircraft scheduled for delivery pursuant to this agreement and the last aircraft of the same model type for which maintenance training and/or materials were delivered by Boeing to Buyer. If Buyer chooses to have Boeing provide a differences Maintenance Training course, Boeing will provide at the beginning of the course, 1 copy of a training manual for the differences training course to each student attending such course. Boeing will also provide to the Buyer 1 set of visual aid projection transparencies and 1 set of black and white reproducible masters of the training manual graphics and text utilized in the Maintenance Training class. No revision service will be provided for such training manuals and materials. If Buyer chooses not to have Boeing provide a differences Maintenance Training course, Boeing will provide to Buyer at Buyer's ▇▇▇▇▇▇▇▇▇, ▇ set of visual aid projection transparencies and 1 set of black and white reproducible masters of the training manual graphics and text that would have been utilized in a differences Maintenance Training class. Delivery of requested materials will satisfy difference training entitlements as defined herein. No revision service will be provided for such training manuals and materials.

Training Materials. BATC shall develop a training package for each satellite subsystem including the operation of the Instrument to address specifically the changes between WV-2 and WV3. The training package will be based on the Subsystem Description Documents (Paragraph 5.3.10) and include the same minimum information. The training packages will be delivered on both paper and electronic media.

Training Materials. All Training Services materials provided by Illumio for Training Services are the property of Illumio. Customer shall not duplicate such materials and may use the materials solely in conjunction with the Training Services provided by Illumio hereunder.

Training Materials. Crittenton will provide program materials (“Program Materials”) to Agency for the administration of the Program. Crittenton grants to Agency a non-exclusive, non-transferable, royalty-free and limited license to use the Program Materials solely for the administration of the Program. Except for the rights expressly granted to Agency under this Agreement, Crittenton will retain all right, title and interest in and to the Program Materials, including all worldwide intellectual property and proprietary rights. A violation of this section shall be considered a material breach of this Agreement.

Training Materials. BMS will determine the content of the Product-specific training materials to be used for the Initial Training Session. Promptly after the Execution Date, BMS will provide to ▇▇▇▇▇ reasonable quantities of training materials from its existing supplies to enable ▇▇▇▇▇ to provide the initial training of its Sales Force Personnel and ▇▇▇▇▇ will reimburse BMS for its out-of-pocket costs incurred to prepare and provide same. Where available to BMS, BMS shall supply ▇▇▇▇▇ with an electronic version of the initial training materials (subject to any obligations BMS may have to any Third Party that may have prepared the materials), so that ▇▇▇▇▇ may use and reproduce the materials, as needed, in accordance with the terms of this Agreement. BMS shall use its commercially reasonable efforts, at its sole expense, to obtain access to an electronic version of the initial training materials for Galen's use pursuant to this Section 7.3 from any Third Party that prepared the materials. The JEC may review the Product-related training materials from time to time and make recommendations for any revisions and updates thereto as the JEC may deem appropriate. Any Product-specific training materials developed by ▇▇▇▇▇ must be submitted to BMS for review and approval prior to any use by ▇▇▇▇▇ and may be used by BMS or ▇▇▇ for the promotion of the Product. BMS shall inform ▇▇▇▇▇ of its approval or rejection of such materials within forty-five (45) days of their receipt by BMS. Such approval by BMS shall be deemed granted, however, in the absence of notice to the contrary by BMS within the forty-five (45) days following receipt of such materials by BMS. All Product-specific training materials may only be used by ▇▇▇▇▇ for training in connection with the Product and may not be used, copied or adapted for any other product or purpose. BMS shall grant to ▇▇▇▇▇ a limited, nonexclusive license under any copyrights controlled by BMS with respect to any training materials provided by BMS solely to use, copy and adapt the training materials for the above purpose, and ▇▇▇▇▇ covenants to use the license solely for the above purpose.
