Note Guarantors definition

Note Guarantors means (i) each of the Issuer’s Restricted Subsidiaries that executes this Indenture as a Note Guarantor or an Additional Note Guarantor and (ii) each of the Issuer’s Restricted Subsidiaries that in the future executes a supplemental indenture in which such Restricted Subsidiary agrees to be bound by the terms of this Indenture as a Note Guarantor, and their respective successors and assigns; provided, that any Person constituting a Note Guarantor as described above shall cease to constitute a Note Guarantor when its respective Note Guarantee is released in accordance with the terms of this Indenture.

Note Guarantors has the meaning assigned to it in the preamble to this Supplemental Indenture.

Examples of Note Guarantors in a sentence

• Since many of the assets of the Issuer and the PIK Note Guarantors are outside the United States, any judgment obtained in the United States against the Issuer or any PIK Note Guarantor, including judgments with respect to the payment of principal, premium, interest, Additional Amounts, redemption price and any purchase price with respect to the PIK Notes, may not be collectable within the United States.

• In accordance with IFRS, the Comcel Trust is consolidated within the combined Tigo Guatemala Companies.There were no changes in ownership of the Tigo Guatemala Companies in the periods presented.Our Combined Financial Statements do not consolidate the subsidiaries over which Comcel and the other Note Guarantors exerted control as of, and for, the periods presented.

• Subsidiary Guarantees of Indebtedness covenant and related definitionsThe Company is seeking an amendment to Section 4.10 of the Existing Notes Indenture to align the Existing Notes Indenture with the 2017 Notes Indenture and the New Notes Indenture with respect to the conditions for the release of guarantees of the Existing Notes provided by Note Guarantors.

• The obligations of the Note Guarantors are secured by liens on the rigs and other assets owned by the Note Guarantors.

• The Company, the Note Guarantors and the Underwriters agree that it would not be just and equitable if contribution pursuant to this Section 8 were determined by pro rata allocation (even if the Underwriters were treated as one entity for such purpose) or by any other method of allocation which does not take account of the equitable considerations referred to in this Section 8.

Note Guarantors shall have the meaning specified in the Indenture.

Note Guarantors means the collective reference to Holdings (so long as it is a guarantor under any of the Note Guaranties), each of the Company’s Domestic Subsidiaries that is a guarantor under any of the Note Guaranties and any other Person who becomes a guarantor under any of the Note Guaranties.

Note Guarantors means (i) Ziggo Secured Finance Partnership and Ziggo Secured Finance II B.V. and (ii) each Additional Note Guarantor in its capacity as an additional guarantor of the Notes.

Note Guarantors shall have the meaning set forth in the recitals.
