Funding Guarantors means Mellon HBV Alternative Strategies LLC, acting on behalf of certain funds and managed accounts whose names are set forth on Schedule A of that certain Standby Investment Agreement, dated as of __________, 2004, and each of the entities identified by HBV under that agreement and which subsequently execute a separate subscription agreement with the Company to purchase Offered Shares.
