Norwegian Security Documents definition

Norwegian Security Documents means (a) a share pledge agreement over the shares in the Norwegian Issuer granted by the Parent and (b) a security agreement granted by the Norwegian Issuer, pledging certain monetary claims, inventory, operating assets, patents and trade receivables.
Norwegian Security Documents means the documents listed in schedule 13;
Norwegian Security Documents means (a) a share pledge agreement over the shares in the Norwegian Guarantor granted by Parent and (b) a security agreement granted by the Norwegian Guarantor, pledging certain monetary claims, inventory, operating assets, patents and trade receivables.

  • Each Note Party incorporated or existing under the laws of Norway has received sufficient corporate benefit in connection with the transactions contemplated by this Agreement and the other Note Documents such that its provision of the guaranty contemplated by this Agreement and none of the security provided by the Norwegian Security Documents is a transaction at an undervalue.

  • If and to the extent the Collateral is subject to any Collateral Documents governed by the law of Norway (the “Norwegian Security Documents”), the security interests created under the respective Norwegian security documents shall rank senior to the security interests created hereunder and the provisions of the respective Norwegian Security Documents shall prevail.

  • Each of the provisions of this Agreement and the Norwegian Security Documents is severable and distinct from the others and if at any time one or more of such provisions is or becomes invalid illegal or unenforceable the validity legality and enforceability of the remaining provisions hereof and thereof shall not in any way be affected or impaired thereby.

  • If there is a conflict between the provisions of this Agreement and/or the Norwegian Security Documents on the one hand and those contained in the Collateral Agency and Intercreditor Agreement and/or the Secured Documents on the other, then (to the extent permitted by law) the provisions of the Collateral Agency and Intercreditor Agreement and the Secured Documents shall take priority over the provisions of this Agreement and the Norwegian Security Documents.

  • The Collateral Agency and Intercreditor Agreement and the Secured Documents shall be supplemental to this Agreement and the Norwegian Security Documents.

  • No failure or delay by the Collateral Agent (or any other Secured Party) in exercising any right, power or remedy vested in it under this Agreement or any of the Norwegian Security Documents shall operate as a waiver thereof nor shall any single or partial exercise or waiver of any right, power or remedy preclude any other or further exercise thereof or the exercise of any other power, right or remedy.

  • The Collateral Agent shall be entitled, at any time and as often as may be expedient, to delegate all or any of the powers and discretions vested in it by this Agreement and any of the Norwegian Security Documents in such manner, upon such terms, and to such person as it in its absolute discretion may think fit.

  • Foreign Security Documents means the collective reference to the security agreements, debentures, pledge agreements, charges and other similar documents and agreements pursuant to which any Grantor purports to pledge or grant a security interest in any property or assets located outside of the United States (including any Pledged Equity Interests of any Issuer organized under a jurisdiction other than the United States or any state or locality thereof securing the Secured Obligations).

  • Transaction Security Documents means each of the documents listed as being a Transaction Security Document in paragraph 2(e) of Part I of Schedule 2 (Conditions Precedent) of the 2009 Financing Agreement and any document required to be delivered to the Administrative Agent under paragraph 3(d) of Part II of Schedule 2 (Conditions Precedent) of the 2009 Financing Agreement together with any other document entered into by any Obligor creating or expressed to create any Security over all or any part of its assets in respect of the obligations of any of the Obligors under any of the Finance Documents (and any other Debt Documents).

  • Term Loan Security Documents means the “Security Documents” as defined in the Term Loan Credit Agreement.

  • Dutch Security Documents means the Dutch Share Pledges, the Dutch Intercompany Pledges and any other Dutch law security document creating security for the benefit of the Collateral Agent.

  • ABL Security Documents means any agreement, document or instrument pursuant to which a Lien is granted securing any ABL Obligations or under which rights or remedies with respect to such Liens are governed.

  • Senior Security Documents means with respect to any Senior Secured Party, the Security Documents that secure the Senior Obligations.

  • Guarantee and Collateral Agreement the Guarantee and Collateral Agreement to be executed and delivered by the Borrower and each Subsidiary Guarantor, substantially in the form of Exhibit A, as the same may be amended, supplemented or otherwise modified from time to time.
