Neuro Field definition

Neuro Field means the neuromodulation field of the Bionics Lead Development Agreement. For purposes of clarity, the Neuro Field does not encompass the Implantable Cardiac Field.
Neuro Field means applications and uses with respect to any anatomical structure cranial to the first cervical vertebra (C1) of the spine. For clarity, access to such structures from points caudal to C1 shall be included in the Neuro Field, including but not limited to access via radial, brachial, and femoral arteries.

  • If Amgen desires to commercialize a product containing Leptin in the Neuro Field, Amgen shall provide notice to Amylin of its desire to obtain a license under Licensed Patent Rights.

  • Beginning on the Effective Date and expiring on the [*] anniversary of the Effective Date, Amgen hereby grants to Amylin a right of first negotiation for any license, partnership, co-development, commercialization, co-promotion or similar agreement related to Leptin, Licensed Products, or such intellectual property rights Controlled by Amgen to the extent they relate to Leptin or the use thereof, in the Neuro Field.

  • Within [***] days after the Effective Date, the Parties shall establish a joint research committee (a “JRC”) for the Neuro Field (the “Neuro JRC”) and a JRC for the [***] Field (the “[***] JRC”).

  • If Amylin elects not to make an offer or does not respond within such [*] period, Amgen shall be free to enter into discussions and an agreement with any Third Party regarding such partnership opportunity in the Neuro Field, If Amylin elects to make an offer by providing written notice to Amgen within such [*] period, the Parties shall negotiate in good faith for [*] from the date of Amgen’s notice with the goal of arriving at a mutually agreeable term sheet.

  • If Amgen Controls intellectual property rights in the Neuro Field related to Leptin that are not Licensed Patent Rights and it intends to partner such rights with a Third Party, Amgen will notify Amylin in writing of such partnership opportunity.

  • This Agreement shall be effective for the period from January 1, 2011 through June 30, 2013, and shall continue in effect from year to year thereafter upon mutual agreement of the Fund and the Adviser.

  • Licensed Field means all fields of use.

  • Licensed Field of Use means all fields.

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • X-ray field means that area of the intersection of the useful beam and any one of the set of planes parallel to and including the plane of the image receptor, whose perimeter is the locus of points at which the exposure rate is one-fourth of the maximum in the intersection.

  • Exclusive Field means the diagnosis, treatment or prevention of any cancer in humans through the use of Engineered T-Cells, which shall exclude the diagnosis, treatment or prevention of medullary cystic kidney disease 1 regardless of whether such disease is characterized as a cancer.

  • Field of Use means all fields of use.

  • Licensed Territory means worldwide.

  • Light field means that area of the intersection of the light beam from the beam-limiting device and one of the set of planes parallel to and including the plane of the image receptor, whose perimeter is the locus of points at which the illumination is one-fourth of the maximum in the intersection.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Licensed Product means any method, process, composition, product, service, or component part thereof that would, but for the granting of the rights set forth in this Agreement, infringe a Valid Claim contained in the Licensed Patents.

  • Commercialize or “Commercialization” means the marketing, promotion, sale (and offer for sale or contract to sell), distribution, importation or other commercial exploitation (including pricing and reimbursement activities) for a Product in the Territory. Commercialization shall include commercial activities conducted in preparation for Product launch.

  • Commercializing means to engage in Commercialization and “Commercialized” has a corresponding meaning.

  • Licensed Compounds means any EZH2 Compound(s) that is:

  • Competing Product means [***].

  • Diagnostic Product means In Vitro Diagnostics, In Vivo Diagnostic Agents and any product used for Diagnosis.

  • U.S. Territory means American Samoa, the Commonwealth of the Northern Mariana Islands, Guam, the Commonwealth of Puerto Rico, or the U.S. Virgin Islands.

  • Competing Products means any product or service in existence or under development that competes with any product or service of the Company Group about which the Participant obtained Confidential Information or for which the Participant provided advisory services or had sales, origination, marketing, production, distribution, research or development responsibilities in the last twenty-four (24) months of employment with the Company Group.

  • Licensed Compound means (a) 3,4-Diaminopyridine, the chemical structure of which is set forth on Exhibit B-2; and (b) any derivatives, isomers, metabolites, prodrugs, acid forms, base forms, salt forms, or modified versions of such compound in (a).

  • Commercialization or “Commercialize” means activities directed to marketing, promoting, research and development as required, manufacturing for sale, offering for sale, distributing, importing or selling a product, including sub-licensing or sub-contracting of these activities.

  • Marihuana-infused product means a topical formulation, tincture, beverage, edible substance, or similar product containing marihuana and other ingredients and that is intended for human consumption.

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Commercialized shall have corresponding meanings.

  • Territory means worldwide.

  • Exclusive Territory means (1) the states of Illinois, Wisconsin, and Indiana; and

  • Cannabis product means cannabis that has undergone a process whereby the plant material has been transformed into a concentrate, including, but not limited to, concentrated cannabis, or an edible or topical product containing cannabis or concentrated cannabis and other ingredients.
