This will evidence our agreement that (i) the final documents, as agreed to by Marine's counsel, Xxxx, Scholer, Fierman, Xxxx & Handler, LLP, and Borrowers' counsel, Battle Xxxxxx LLP, after full disclosure to and consultation with their respective clients, and delivered on the date hereof, constitute the final DOC #1294375 and complete agreement of the parties with respect to the Facility and, as such, are fully binding on the parties and (ii) all such documents, whether executed and/or finalized before or after the funding, shall be deemed to have been executed and delivered immediately prior to the funding.
