Manitowoc Representative Member means the representative member of any group for VAT purposes of which Manitowoc is a member;
Shareholder Representative has the meaning set forth in the preamble.
Individual Member means a registered, financial Member of the Club who is at least 18 years of age.
Managing Member is defined in the recitals to this Agreement.
Resident Representative means (if any) the individual (or, if permitted in accordance with the Companies Acts, the company) appointed to perform the duties of resident representative set out in the Companies Acts and includes any assistant or deputy Resident Representative appointed by the Board to perform any of the duties of the Resident Representative;
Partnership Representative has the meaning set forth in Section 5.2(a).
Non-Managing Member means any Member other than the Managing Member.
Member Representative means an individual who can make OHP-related decisions for a member who is not able to make such decisions themselves.
Stockholder Representative has the meaning set forth in the preamble.
Shareholders’ Representative has the meaning set forth in the Preamble.
Associate Member means a person appointed to perform specific statutory and non-statutory duties which have been delegated by the Trust Board for them to perform and these duties have been recorded in an appropriate Trust Board minute or other suitable record.
Faculty Member means any person hired by the college or District to conduct classroom or teaching activities or who is otherwise considered by the college to be a member of faculty.
Stockholders’ Representative has the meaning set forth in the Preamble.
Initial Member has the meaning set forth in the introductory paragraph.
Authorized Company Representative means any person who, at the time, shall have been designated to act on behalf of the Company by a written certificate furnished to the Issuer, the Remarketing Agent and the Trustee containing the specimen signature of such person and signed on behalf of the Company by any officer of the Company. Such certificate may designate an alternate or alternates.
appointed member means a member referred to in section 5(1)(a) or (b);
Designated Employer Representative (DER) means a designated school district representative authorized to take immediate action to remove employees from safety-sensitive duties, to make required decisions in the testing and evaluation process, and to receive test results and other communications for the school district.
Supplier Representative means the representative appointed by the Supplier from time to time in relation to this Framework Agreement;
Lead Member shall, in the case of a joint venture, mean the member of such joint venture who shall have the authority to bind the contractor and each member of the Joint venture; and shall be deemed to be the Contractor for the purposes of this Agreement; the Lead Member shall itself undertake and perform at least 51% (fifty one per cent) of the total length of the Project Highway;
Holders’ Representative means the representative of the Holders named in the preamble, until a successor Holders’ Representative shall have become such pursuant to the applicable provisions of this Agreement, and thereafter “Holders’ Representative” shall mean such successor Holders’ Representative.
Designated member means the spouse, child, grandchild, parent, brother, or sister of a deceased individual who owned an interest in a wholesaler, who is entitled to inherit the deceased individual's ownership interest in the wholesaler under the terms of the deceased individual's will, or who has otherwise been designated in writing by the deceased individual to succeed the deceased individual in the wholesaler's business, or is entitled to inherit such ownership interest under the laws of intestate succession of this state. With respect to an incapacitated individual owning an ownership interest in a wholesaler, the term means the person appointed by a court as the conservator of such individual's property. The term also includes the appointed and qualified personal representative and the testamentary trustee of a deceased individual owning an ownership interest in a wholesaler.
Principal’s Representative means the person nominated by the Principal or other person from time to time appointed in writing by the Principal to act as the Principal’s Representative for the purposes of the Contract.
Holder Representative has the meaning specified in Section 11.1.
Departing General Partner means a former General Partner from and after the effective date of any withdrawal or removal of such former General Partner pursuant to Section 11.1 or Section 11.2.
Management Representative means an individual designated to hear grievances on behalf of the University.
Executive Member means any elected member of the authority appointed to the executive of that authority;
Permit Holder means the Person to whom a Building Permit has been issued.
