Except to the extent of any such discrimination against the Hotel, Owner shall have no recourse against Manager on account of any such variance granted to another Managed Hotel, and Owner shall not be entitled to require Manager to grant Owner a like or similar variance hereunder.
To the extent permitted by the Hotel’s policy at a reasonable additional cost, if any, and only with regard to the financed equipment, such Owned Hotel, Managed Hotel or Franchised Hotel shall add Roomlinx as an additional insured on its insurance policies and provide a certificate of insurance to Roomlinx.

The Hotel shall utilize all automation systems reasonably required by Manager to enable the Hotel to function as a Managed Hotel, in accordance with the terms and conditions of Exhibit E; provided that Manager shall utilize the existing computer and automation systems present at the Hotel and the Hotel may continue to use other existing automation systems at the Hotel, to the extent commercially reasonable.
The Managed Hotel shall be officially opened only after the Property passed Party A’s inspection by issuing the Certificate of Conformity for Standard Renovation Inspection of Managed Hotel of 7 Days Inn Group and the relevant licenses are ready.
Party B’s responsibility is limited to conduct financial accounting, prepare statements, file tax declaration and pay tax for the Managed Hotel.
Where Party B manages to engage in operating activities without satisfying the foregoing conditions, any and all legal risks and compensation for losses so caused shall be borne by Party B and the Managed Hotel, and Party A shall not have any relevance therewith.
Party B shall also be responsible for, and bear all expenses of, the coordination and cooperation with competent government authorities during the operation of the Managed Hotel.
The Company will maintain as to each of the Managed Hotels a management contract containing terms no less favorable to the Company than the terms contained in such management contract as in effect on the date of this Indenture (collectively, the "Managed Hotel Management Contracts").
