System Hotel has the meaning stated in Schedule 1.

System Hotel means a limited-service hotel operated by Franchisor, an Affiliate of Franchisor, or a franchisee or licensee of Franchisor or its Affiliates under the trade name Fairfield Inn by Marriott or Fairfield Inn & Suites by Marriott in any of the fifty (50) states of the United States of America, the District of Columbia or Canada, and does not include any other Franchisor Lodging Facility or other business operation.

Examples of System Hotel in a sentence

• Once the Hotel is closed, you will not promote the Hotel as a System Hotel or otherwise identify the Hotel using any of the Marks without our prior written consent.

• You agree to identify and operate the Hotel as a System Hotel in accordance with the Marks, the System and this Agreement only as and when authorized by us.

• You agree that Liquidated Damages are not a penalty and represent a reasonable estimate of the minimum just and fair compensation for the damages we will suffer as the result of your failure to operate the Hotel as a System Hotel in compliance with this Agreement for the full License Term, assuming that we would be able to replace the Hotel in the market within a reasonable time.

• Franchisee will pay any Association dues and assessments, which will be consistently applied to all System Hotel franchisees.

• Until we determine that the Hotel can be re-opened as a System Hotel, the Hotel will not promote itself as a System Hotel or otherwise identify itself with any of the Marks without our prior written consent.

• You acknowledge that Monthly Program Fees are intended for the benefit of the System and will not simply be used to promote or benefit any one System Hotel or market.

• Franchisor and Franchisee have agreed to the construction, upgrading, and renovation requirements set forth in Attachment One to this Property Improvement Plan Addendum (the “Scope of Work”) in order for Franchisee to use the System and continue to operate the Hotel as a System Hotel.

• The Brand that you may use with regard to the operation and marketing of the Hotel as a System Hotel is designated in the Addendum.

• Confidential and Proprietary System Information includes Guest Data, Hotel Data, System Hotel Statistics and all System Information, whether or not developed by Manager from its own Guest Data and System Hotel Statistics or from Hotel Data, regardless of whether such are labeled confidential, proprietary or trade secret.

• Owner will, subject to the requirements of any Mortgage, Restore the Hotel as nearly as possible to its value, condition and character immediately prior to the damage, destruction or Condemnation and so that it would be acceptable as a System Hotel under the then current System.
