Licensed Xxxx means the xxxx APOLLO.

Licensed Xxxx means any registered or unregistered trademark, brand or logo referenced in Attachment A.

Licensed Xxxx has the meaning set forth in the recitals.

• Each party shall immediately notify the other party and provide to the other party all relevant background facts upon becoming aware of (i) any registrations of, or applications for registration of, marks in the Territory that do or may conflict with any Licensed Xxxx, and (ii) any infringements, imitations, or illegal use or misuse of the Licensed Xxxx in the Territory.

• The Company acknowledges and agrees that Licensor is the owner of all right, title, and interest in and to the Licensed Xxxx, and all such right, title, and interest shall remain with the Licensor.

• In the event that Licensor agrees to register such Licensed Xxxx in such jurisdiction, Licensor may require that Licensee reimburse it for its out-of-pocket expenses associated with such registration, including filing fees, translation charges and legal fees, and associated maintenance fees.

• The Company shall not by any act or omission use the Licensed Xxxx in any manner that disparages or reflects adversely on Licensor or its business or reputation.

More Definitions of Licensed Xxxx

Licensed Xxxx means the trademark "COLEMAN," and the variations thereof and associated logos set forth in Schedule A.

Licensed Xxxx means any Xxxx licensed for use by Intertek in accordance with a Product Certification Scheme detailed in the Schedules hereto.

Licensed Xxxx means (a) each registered and unregistered trademark and service xxxx of Teekay set forth in Schedule A (together with any new marks described in (c) below, the “Teekay Trademarks”), (b) vessel livery, uniform designs and other elements of trade dress used in the TOO Business prior to the Effective Date (together with any new trade dress as described in (c) below, the “Licensed Trade Dress”), and (c) any registered and unregistered trademark and service xxxx or trade dress adopted by Teekay for use in the Retained Businesses after the Effective Date.

Licensed Xxxx or "Licensed Marks" shall mean the trademarks BOSS in the Microgramma Typestyle and the stylized B (as set forth on Exhibit A attached hereto) whether used alone or in combination with other words or symbols, with the appearance and/or style of the said trademark in compliance with the provisions of Exhibit A.

Licensed Xxxx means Licensor's registered service xxxx CarePayment®.

Licensed Xxxx has the meaning given to it in Section 6.4(b).

Licensed Xxxx means the xxxx ETRE.
