Lease Consent definition

Lease Consent has the meaning set forth in Section 5.9(a).

Lease Consent shall have the meaning set forth in Section 4.2(a)(xv).

Lease Consent means, as applicable with respect to a particular Lease, a written consent of the landlord thereunder to the consummation of the Merger (and to the effect thereof on the voting control of the Company and Hat World, Inc.) or a written waiver by such landlord of any right to terminate the Lease or of any default arising or occurring (or that would arise or occur) as a result of the consummation of the Merger (and any resultant change of voting control with respect to the Company or Hat World, Inc.).

Examples of Lease Consent in a sentence

• Such assignment shall be completed on the later of: (i) the Go Live Date; and (ii) the earlier of (A) the tenth (10th) business day after the relevant Lease Consent has been granted and (B) the date agreed upon by the parties in accordance with Section 2.12(a) below.

• Such sublease shall be completed on the later of: (a) the Go Live Date; and (b) the earlier of (i) the tenth (10th) business day after the relevant Lease Consent has been granted and (ii) the date agreed upon by the parties in accordance with Section 2.12(a) below.

• Such assignment shall be completed on the later of: (i) the Separation Date; and (ii) the earlier of (A) the fifth (5th) business day after the relevant Lease Consent has been granted and (B) the date agreed upon by the parties in accordance with Section 1.6(a) below.

• Such sublease shall be completed on the later of: (a) the Go Live Date; and (b) the earlier of (i) the tenth (10th) Business Day after the relevant Lease Consent has been granted and (ii) the date agreed upon by the parties in accordance with Section 2.12(a).

• Such sublease shall be completed on the later of: (a) the Operational Separation Date; and (b) the earlier of (i) the 10/th/ business day after the effective date of the relevant Lease Consent and (ii) the date agreed upon by the parties in accordance with Section 2.12(a) below.

More Definitions of Lease Consent

Lease Consent means the Consent of any landlord under any lease for any leased Real Property.

Lease Consent means, as applicable with respect to a particular Lease, a written consent of the landlord thereunder to the consummation of the transactions contemplated by this Agreement or a written waiver by such landlord of any right to terminate the Lease or any default arising or occurring (or that would arise or occur) as a result of the consummation of the transactions contemplated by this Agreement.

Lease Consent means such consents and approvals of any Third Party as may be required as a condition of any Lease Assignment, Sublease, or License of Leased Premises as a consequence of such Lease Assignment, Sublease or License of Leased Premises or in order to avoid any breach of a lease for a Leased Premises.

Lease Consent means the legally binding written consent of the Superior Landlord to the grant of the Lease which consent document shall include the grant of the Additional Rights;

Lease Consent is defined in SECTION 3.19(b)(ii).

Lease Consent means any approval, consent, ratification, waiver or other authorization of the other party or parties to each of the Leases identified on Schedule 5.10.
