This Assignment/Amendment assigns the FP Agreement and the Service Agreement to Funds Distributor and makes other amendments to the FP Agreement and the Service Agreement.
The Assignment/Amendment shall become effective as of April 11, 2005, the date upon which ▇▇▇▇▇▇▇▇ ceased serving as the primary distributor to the Trust.
Assignment/Amendment: The parties may not change, amend, modify, issue, sell, transfer, convey, encumber, or pledge (or permit to be changed, amended, modified, issued, sold, transferred, conveyed, encumbered, or pledged) any ownership, management, or voting right or interest in this LOI or the Lease, by operation of law or otherwise, without the prior written consent and approval of all the Parties to the LOI or Lease, as applicable.
Any assignment or amendment made under the Assignment/Amendment section of this Service Contract shall be done so in accordance with all applicable laws of the State of Wisconsin.
