Fixed Award definition

Fixed Award means a specified cash award, calculated in accordance with Article 5, payable to a Participant under this Plan for services provided to the Company in 2018, as determined by the Award Committee from time to time in its sole discretion. Fixed Award payments shall be contingent on the attainment of one or more Performance Goals. The timing and conditions of the payment of the Fixed Award are subject to the terms and conditions of the Plan and, subject to Article 7 of the Plan, any other terms and conditions determined by the Award Committee to be appropriate. The Fixed Award may, but is not required to, be evidenced by a separate agreement executed by the Participant.

Examples of Fixed Award in a sentence

  • If sufficient Plan Shares are not available under this Plan for a Fixed Award or Fixed Service Award to be made to an Outside Director, including a Subsequent Outside Director, and thereafter Plan Shares become available through forfeiture or by reason of the purchase of additional shares of Common Stock by 6 the Trustee, such Outside Director(s) shall then receive a Plan Share Award, sharing pro rata among such Outside Directors the number of Plan Shares then available under this Plan.

  • Ninety percent (90%) of such Fixed Award shall be based on the Overall Performance Level and the achievement of the Performance Goals.

  • If a Participant’s employment is terminated after the end of the Performance Period, but prior to the Payment Date, for any reason other than termination for Cause, the amount of any Fixed Award applicable to the Performance Period shall be paid to the Participant in accordance with the provisions of Article 5 on the Payment Date.

  • In the event of Disability during the Performance Period (absent termination), the Committee shall have discretion to pay a Fixed Award (or a prorated portion thereof) to the Participant on the Payment Date.

  • For each Performance Period, the Committee shall also establish and approve (i) with respect to all Participants, a payout schedule setting forth the Fixed Award amount potentially payable upon the achievement of Threshold Achievement, Target Achievement, and Maximum Achievement levels, and (ii) with respect to Tier 2 Participants, a Pool Payout Schedule for Threshold Achievement, Target Achievement, and Maximum Achievement levels, to be used for establishing the Tier 2 Pool.

  • Appreciation Award means any Award under this Plan of any Stock Option, Stock Appreciation Right or Other Stock-Based Award, provided that such Other Stock-Based Award is based on the appreciation in value of a share of Common Stock in excess of an amount equal to at least the Fair Market Value of the Common Stock on the date such Other Stock-Based Award is granted.

  • Award Value means the value, in dollars, of an award made to a Participant and as stated in the applicable Award Agreement, which is provided under the Plan in the form of PSUs or RSUs, as the case may be.

  • Performance Award Formula means, for any Performance Award, a formula or table established by the Committee pursuant to Section 10.3 which provides the basis for computing the value of a Performance Award at one or more levels of attainment of the applicable Performance Goal(s) measured as of the end of the applicable Performance Period.

  • Restricted Award means any Award granted pursuant to Section 7.2(a).

  • Cash Award means an award denominated in cash.

  • share-based award means an award under an equity incentive plan of equity-based instruments that do not have option-like features, including, for greater certainty, common shares, restricted shares, restricted share units, deferred share units, phantom shares, phantom share units, common share equivalent units, and stock.

  • PSUs means the outstanding performance share units governed by the performance share unit plan of the Company dated December 16, 2013, as amended from time to time;
