Filene s Availability" or "VC Availability" or of any Definition of any component thereof, such that more credit would be available to a Borrower, based on the same assets, as would have been available to such Borrower immediately prior to such amendment , it being understood, however, that:
Filene s Basement will maintain, within each Filene's Basement Store, in places prominent and readily accessible to the public, Credit Card Applications and credit card application displays. Filene's Basement will include in its advertising reference to the Program with a frequency and a size and prominence at least equal to the reference made in such advertising to any other credit card. All such advertising and promotional material stating any consumer credit terms and/or conditions will be subject to Bank's prior written approval. Filene's Basement will not, without Bank's prior consent, use Bank's name or logo type in any advertisement or promotion materials.
Filene s Basement shall (i) file a petition seeking relief pursuant to the Bankruptcy Code or any other applicable bankruptcy or other similar law, (ii) consent to the institution of proceedings pursuant thereto or to the filing of any such petition or to the appointment of or taking possession by a custodian, receiver, liquidator, assignee, trustee, or sequestrator (or similar official) of Filene's Basement or of any substantial part of its properties, (iii) fail generally to pay its debts as such debts become due, or (iv) take corporate action in furtherance of any such action.
