Store Operations. The Franchisee acknowledges that it is solely responsible for the successful operation of its ROCKY MOUNTAIN CHOCOLATE FACTORY Store and that the continued successful operation thereof is, in part, dependent upon the Franchisee’s compliance with this Agreement and the Operations Manual. In addition to all other obligations contained in this Agreement and in the Operations Manual, the Franchisee covenants that: a. The Franchisee shall maintain clean, efficient and high quality ROCKY MOUNTAIN CHOCOLATE FACTORY Store operations and shall operate the business in accordance with the Operations Manual and in such a manner as not to detract from or adversely reflect upon the name and reputation of the Franchisor and the goodwill associated with the ROCKY MOUNTAIN CHOCOLATE FACTORY name and Marks. b. The Franchisee will operate its ROCKY MOUNTAIN CHOCOLATE FACTORY Store in compliance with all applicable laws, health department regulations and other ordinances. In connection therewith, the Franchisee will be solely and fully responsible for obtaining any and all licenses to operate the ROCKY MOUNTAIN CHOCOLATE FACTORY Store. The Franchisee shall promptly forward to the Franchisor copies of all health department, fire department, building department and other similar reports of inspections as and when they become available. c. The Franchisee and all persons who work behind the counter at the Store in any capacity, whether or not they are employees of the Franchisee (“Personnel”), shall conduct themselves in such a manner so as to promote a good image to the public and to the business community. At no time shall any of the Personnel engage in unreasonable or disrespectful behavior toward anyone, including using offensive or rude language or gestures. The Franchisee shall at all times require its Personnel to follow the Code of Conduct as set forth in the Operations Manual. d. The Franchisee acknowledges that proper management of the ROCKY MOUNTAIN CHOCOLATE FACTORY Store is important and shall insure that the Franchisee or a designated General Manager who has completed the Franchisor’s initial training program be responsible for the management of the ROCKY MOUNTAIN CHOCOLATE FACTORY Store after commencement of Store operations and be present at the Franchised Location during operation of the Store. e. Store Operations. Agent and/or Agent’s Representative shall properly manage in accord with good business practices and operate the Store and perform all services required by the Commission in a courteous and competent manner and in accord with this Agreement including the Retail Operations Manual and applicable laws, rules and regulations.

Store Operations. You shall cause the Store to be open and operating on the days and during the hours that Franchisor designates, subject to applicable lease and/or local law or licensing limitations. You shall operate and maintain the Franchised Business in conformity with the highest ethical standards and sound business practices and in a manner which will enhance the goodwill associated with the Proprietary Marks.
Store Operations. 5.01. With respect to any and all Stores owned or operated by XSPA, as between Calm and XSPA, XSPA shall be the sole owner and operator of any and all such Stores throughout the Territory and XSPA shall have sole management and operational control and liability with respect to such Stores and any and all costs and expense associated with the operation and maintenance thereof. XSPA shall operate and maintain the Stores with high standards of quality and service and shall at all times comply with any and all applicable laws in connection therewith. 5.02. With respect to any and all Stores owned or operated by any of XSPA’s Airport Concession Disadvantaged Business Enterprise partners (“ACDBE Partner(s)”) in conjunction with XSPA, XSPA shall cause each of its ACDBE Partners to fulfill all of the obligations set forth herein with respect to the display, marketing, promotion, offer for sale and sale of Products at each Store in the Territory owned or operated by XSPA and such ACDBE Partner(s). As between Calm and XSPA, XSPA shall remain liable for the acts and omissions of each ACDBE Partner. As between Calm on the one hand and XSPA and its ACDBE Partner(s) on the other hand, XSPA and its ACDBE Partner(s) shall be the sole owners and operators of any and all such Stores throughout the Territory and XSPA and its ACDBE Partner(s) shall have sole management and operational control and liability with respect to such Stores and any and all costs and expense associated with the operation and maintenance thereof. XSPA and its ACDBE Partner(s) shall operate and maintain the Stores with high standards of quality and service and shall at all times comply with any and all applicable laws in connection therewith. 5.03. With respect to any and all Stores owned or operated by a third party who is not an ACDBE Partner (any such third party a “Franchisee”), where XSPA is a franchisor, XSPA shall cause each Franchisee to fulfill all of the obligations set forth herein with respect to the display, marketing, promotion, offer for sale and sale of Products at each Store in the Territory owned or operated by such Franchisee. Except as otherwise set forth in this Agreement, including Section 10.03, as between Calm and XSPA, XSPA shall remain liable for the acts and omissions of each Franchisee. 5.04. Store Operations. 1. Current regular employees classified as Store Clerk R9 as of November 24, 2003, and working in the store system, will have their classification maintained at Grid R9 so long as they occupy such a position. 2. Current auxiliary employees who are working in the store system as of November 24, 2003, will have their current classification maintained at Grid R9 as long as they continue to be employed as an auxiliary Store Clerk. Auxiliary Store Clerks classified at Grid R9 who are appointed to a regular Store Clerk position will be placed on the Grid at the closest step not less than their current rate of pay.
Store Operations. 7.1 The Tribe recognizes the Board’s interest in ensuring all liquor stores display Liquor in an attractive manner that allows customers a clean, comfortable and safe environment to make purchases. 7.1.1 The Board shall notify the Tribe of changes or modifications to standards for a liquor store, and the Tribe will reasonably comply with any such standard changes. 7.1.2 The Tribe agrees that any future signage regarding Liquor sales shall comply with applicable zoning ordinances. 7.2 The Tribe shall keep all Liquor products sold at the Tribal Store in the manufacturers’ original containers and the products shall only be sold from stores within Indian Country. 7.3 The Tribal Store is located at the following address: Northern Quest Resort & Casino 000 X. Xxxxxxx Road Airway Heights, WA 99001 7.4 Any relocation of the above-described Tribal Store shall be subject to Board approval. 7.4.1 Such approval shall not be unreasonably withheld. 7.5 The Tribe agrees to resell all spirits, beer and wine purchased from the Board at a per unit total retail price equal to that of the Board’s total retail price that is in effect at the time of sale by the Tribe, including all applicable taxes. 7.5.1 The Board shall provide the Tribe with lists of the applicable prices to be charged. 7.5.2 In addition to selling Liquor purchased from the Board at sale prices in effect by the Board, the Tribe may, at its option, reduce prices on two (2) additional items each month, with the retail price of those items being no less than ninety (90) percent of the Board’s total retail price including taxes of that item in effect at that time. 7.6 The Tribe may only advertise spirituous Liquor in print media that is primarily distributed in the market area to be served by the Tribal store. 7.6.1 No advertising shall contain direct comparisons between the Tribe prices and State prices. 7.7 The Tribe shall not sell Liquor between the hours of 2:00 a.m. and 6:00 a.m. 7.7.1 The Tribe may sell beer, wine, and spirits any day, except during the above hours. 7.7.2 The Tribe shall provide a written attachment to this Agreement containing the Tribal store’s operating hours.
