Land and Buildings. The list of the Land and Buildings set out in Schedule C accurately reflects all interests of the Vendor in real property used in the conduct of the Business. The Vendor represents that all agreements with respect to the Vendor's interest in the Land and Buildings are in force and effect and without amendment thereto and the interests in the Land and Buildings are free and clear of all Encumbrances. To the best of the knowledge of the Vendor and Xxxxx, neither asbestos nor urea formaldehyde foam is now used, or present, in any of the buildings listed in Schedule C;
Land and Buildings. All of Xxxxxxxxx's right, title and interest in certain real estate situated in Cerro Gordo County, Iowa more particularly described in Attachment 1 attached hereto and made a part hereof (the "Land") together with and all buildings, structures, and improvements now standing or at any time hereafter constructed or placed upon the Land (the "Buildings"), including all hereditament, easements, appurtenances, riparian rights, mineral rights, water rights, rights in and to the lands lying in streets, alleys and roads adjoining the land, estates and other rights and interests now or hereafter belonging to or in any way pertaining to the Land.

To the knowledge of each Shareholder the Buildings were constructed and completed in accordance with all necessary building permits and approvals, no changes have been made to the Buildings which do not comply with all building permits, building restrictions (including private deed restrictions, if any), laws, bylaws, requirements, regulations or ordinances, and the Buildings are now and shall at the Closing Date be used and occupied in compliance with all building permits, building restrictions (including private deed restrictions, if any), laws, by-laws, requirements, regulations and ordinances.

Each Member Group will retain all of its existing land and buildings and Fixtures relating thereto (excluding trade fixtures used in the manufacturing process of the Current Grid Business) even if used for their Current Grid Businesses. Furniture will be retained by the Member Groups unless it is used solely in the Member’s Current Grid Business. If the Venture elects to continue manufacturing at current locations, the Venture shall lease any land and buildings currently used by Xxxxxxxxx or National in their Current Grid Businesses at a fair market value per square foot. Separate leases for each location shall be executed. If the NRM Malvern facility is used by the Venture, common items such as utilities, etc. will be allocated between NRM’s steel processing operation and the Venture on a fair basis to be agreed upon by the parties.
