Existing Secured Notes Trustee means The Bank of New York Mellon, as trustee for the Existing Secured Notes.
Existing Secured Notes Trustee means The Bank of New York Mellon Trust Company, N.A., in its capacity as “Trustee” under the Existing Secured Notes Indenture, until a successor replaces it in accordance with the applicable provisions of the Existing Secured Notes Indenture and thereafter means the successor serving thereunder.
Existing Secured Notes Trustee means HSBC Bank USA, in its capacity as trustee under the Existing Secured Indenture.

More Definitions of Existing Secured Notes Trustee

Existing Secured Notes Trustee means U.S. Bank National Association, as trustee with respect to the Existing Secured Notes, or any successor thereto in such capacity, and any successor or other trustee (and their respective successors) under the Existing Secured Notes Indenture. “fair market value” means, with respect to any asset or liability, the fair market value of such asset or liability as determined by Holdings in good faith. “Financial Officer” means the Chief Financial Officer, the Treasurer or other financial officer of Holdings, as appropriate. “Foreign Subsidiary” means, with respect to any Person: (1) any Restricted Subsidiary of such Person that is not organized or existing under the laws of the United States, any state thereof, the District of Columbia, or any territory thereof and any Restricted Subsidiary of such Foreign Subsidiary; and (2) any Restricted Subsidiary that is treated as a disregarded entity for United States federal income tax purposes and substantially all of whose assets consist of Equity Interests and/or Indebtedness of one or more Foreign Subsidiaries and any Restricted Subsidiary of such Foreign Subsidiary. “GAAP” means: (1) generally accepted accounting principles in the United States of America as are in effect from time to time, or (2) if elected by Holdings by written notice to the Trustee, the accounting standards and interpretations (“IFRS”) adopted by the International Accounting Standards Board, as in effect from time to time; provided, that: (a) any such election once made shall be irrevocable; (b) all financial statements and reports required to be provided after such election pursuant to this Indenture shall be prepared on the basis of IFRS;
Existing Secured Notes Trustee means Wilmington Trust FSB, as trustee under the Existing Senior Notes Indenture, and any successors thereto in such capacity.

  • Existing Secured Notes means the Company’s outstanding 5.500% Senior Secured Notes due 2025, 5.750% Senior Secured Notes due 2027 and 4.875% Senior Secured Notes due 2028.

  • Senior Notes Trustee means any entity acting as trustee under any issue of Senior Notes (to the extent it has acceded to this Agreement in such capacity pursuant to a Creditor/Agent Accession Undertaking), in each case as the context requires.

  • Senior Secured Notes Trustee means The Bank of New York Mellon Trust Company, N.A. and its successors and assigns acting as trustee under the Senior Secured Notes Indenture.

  • Notes Trustee has the meaning assigned to such term in the Recitals to this Agreement.

  • Existing Senior Notes Indentures means, the indentures governing the Existing Senior Notes, each as may be amended or supplemented from time to time.

  • Existing Senior Notes Indenture means the Indenture dated as of April 11, 2013, among the Lux Borrower, as issuer, the Parent, as guarantor and Deutsche Bank Trust Company Americas, as trustee, under which the Existing Senior Notes are outstanding, as amended, modified or supplemented from time to time.

  • Secured Notes Indenture means the Indenture, dated as of May 29, 2013, among the Borrower, the subsidiary guarantors party thereto from time to time and Wilmington Trust, National Association, as trustee, governing the Secured Notes, as the same may be amended, supplemented, waived or otherwise modified from time to time.

  • Senior Secured Notes Indenture means (i) the Indenture dated October 8, 2014, among the Borrowers, the guarantors party thereto and the Trustee or (ii) if Senior Secured Notes are issued pursuant to clause (ii) of the definition thereof, the loan agreement or indenture governing such Senior Secured Notes.

  • Senior Unsecured Notes Indenture means the Indenture dated as of July 20, 2011 among Xxxxx Fargo Bank, National Association, as trustee, the Borrower, as issuer, and the guarantors party thereto, as the same may be amended or supplemented from time to time.

  • Senior Secured Note Indenture means the Indenture dated as of November 5, 2009, among the Issuers, the Note Guarantors (as defined therein) and The Bank of New York Mellon, as trustee, principal paying agent, transfer agent and registrar, as amended, extended, restructured, renewed, refunded, novated, supplemented, restated, replaced or modified from time to time;

  • Subordinated Notes Indenture means that certain Subordinated Debenture Indenture between DH (f/k/a NGC Corporation) and First National Bank of Chicago, as Debenture Trustee, dated as of May 28, 1997 (as amended, restated and supplemented through the Petition Date).

  • Existing Notes Indentures means, collectively, the Existing Senior Notes Indentures and the Existing Senior Guaranteed Notes Indentures.

  • Existing Senior Notes means the Existing 2020 Senior Notes and the Existing 2021 Senior Notes, collectively.

  • Existing Notes Indenture shall have the meaning set forth in the recitals hereto.

  • Senior Secured Notes means the $1,875 million aggregate principal amount of 7.375% Senior Secured Notes due 2023 of the Borrower including, as the same may be amended, supplemented, waived or otherwise modified from time to time, including any senior secured exchange notes issued in lieu thereof.

  • Senior Subordinated Notes Indenture means the Indenture, dated as of July 17, 2012, under which the Senior Subordinated Notes were issued, among the Borrower and the Restricted Subsidiaries party thereto and the trustee named therein from time to time, as in effect on the Closing Date and as amended, restated, supplemented or otherwise modified from time to time in accordance with the requirements thereof and of this Agreement.

  • Unsecured Notes Indenture means, collectively, any indenture by and among the Borrower or a Guarantor, as issuer, the guarantors, if any, party thereto and a trustee, and any and all related documentation entered into in connection therewith, pursuant to which Unsecured Notes shall have been issued, as the same may be amended, restated, modified or supplemented from time to time.

  • Senior Notes Indentures means, collectively, the 2020 Senior Notes Indenture and the 2023 Senior Notes Indenture.

  • Senior Secured Notes Documents means the Senior Secured Notes Indenture and the other transaction documents referred to therein (including the related guarantee, the notes and the notes purchase agreement).
