Excluded Class definition

Excluded Class means any class or series of Preferred Stock with a liquidation preference that is less than $100,000 per share, unless the Articles of Incorporation requires such class or series of Preferred Stock to vote in proportion to their respective liquidation preferences when voting together with the Series M Preferred Stock as a single class.

Examples of Excluded Class in a sentence

  • Those Class Members who submit timely and valid requests for exclusion in the form described above will be referred to as “Excluded Class Members.” Excluded Class Members will not receive any consideration under the Settlement and will not be bound by any provision of the Settlement.

More Definitions of Excluded Class

Excluded Class means any or all of the following classes of employees: (i) employees who have been employed less than two (2) years; (ii) highly compensated employees (within the meaning of Code Section 414(q)); or (iii) highly compensated employees (within the meaning of Code Section 414(q)) with compensation above a certain designated level, who are officers, or who are subject to the disclosure requirements of Section 16(a) of the Securities Exchange Act of 1934.
