Endo Marks definition

Endo Marks means all Trademarks owned by the Endo Companies, including those Trademarks consisting of or containing the word “Endo” or “Paladin,” and including the Trademarks set forth on Section 1.1(c) of the Disclosure Letter.
Endo Marks means those trademarks, trade names, trade dress, and/or logos, other than BDSI Trademarks and Assigned Marks, that (i) appear on or in any Inventory, any labeling, inserts, packaging, or the like associated therewith and (ii) are not specific to the Product.

Examples of Endo Marks in a sentence

  • To the knowledge of Endo and its Affiliates, no Product is being or has been commercialized, sold, or offered for sale anywhere other than the United States, and no Product is being commercialized under any proprietary brand name, trademark, trade name, or logo other than the Endo Marks, Assigned Marks, and BDSI Trademarks.

  • The Sellers shall, as promptly as practicable after the Closing (but in no event later than 180 days after the Closing unless a later date is otherwise agreed to by the Buyers), (i) cease using and displaying any and all trademarks that are included in the Transferred Assets and (ii) cause the name of each Seller in the caption of the Bankruptcy Cases to be changed to the new name of each Seller that does not use any Endo Marks.

  • Seller Marks has the meaning set forth in Section 6.4.

  • Marks means any and all trademarks, service marks, trade names, taglines, company names, and logos, including unregistered and common-law rights in the foregoing, and rights under registrations of and applications to register the foregoing.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Licensed IP means the Intellectual Property owned by any person other than the Corporation and to which the Corporation has a license which has not expired or been terminated;

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Company Licensed Intellectual Property means all Intellectual Property that is licensed to the Company or any of its Subsidiaries by any third party.
