Direct sales company means a person that:
Direct sales company means a person that: sells, distributes, or supplies for consideration a good or service through participants: at different levels of distribution; or in accordance with a formula for compensating participants in whole or in part based on: the sale of a good or service; and the recruitment of or the performance or action of another participant; and permits participants to recruit other participants to sell, distribute, or supply for consideration the person's good or service; or provides for commission, cross-commissions, override commissions, bonuses, refunds, dividends, or other consideration that is or may be paid as a result of: the sale of a good or service; or the recruitment of or the performance or action of another participant. As used in this Subsection (3), "participant" means an independent agent, contractor, or distributor. "Principal" means a person who: engages in any of the following activities with regard to a product or service: manufactures; produces; imports; sells; or distributes; establishes a business relationship with a sales representative to solicit orders for a product or a service described in Subsection (4)(a); and agrees to compensate a sales representative, in whole or in part, by commission. Except as provided in Subsection (5)(b), "sales representative" means a person who enters into a business relationship with a principal: to solicit orders for a product or a service described in Subsection (4)(a); and under which the person is compensated, in whole or in part, by commission. "Sales representative" does not include: an employee of a principal; a person licensed under Title 31A, Insurance Code; a person licensed under Title 41, Chapter 3, Part 2, Licensing; a person licensed under Title 61, Chapter 2f, Real Estate Licensing and Practices Act; a person who provides a product or service under a business relationship with a principal that is incident to the purchase or sale of real property; a person who places an order or purchases a product or service for that person's own account for resale; or an independent agent, contractor, or distributor through whom a direct sales company supplies for consideration a good or service. "Terminates" or "termination" means the end of a business relationship between a sales representative and a principal, whether by: agreement; expiration of a time period; or exercise of a right of termination by either the principal or the sales representative.   • Distributor / Distribution Company means Company(ies), Firm(s), Sole Proprietorship concern(s), individual(s), Banks or any other Financial Institution appointed by the Management Company under intimation to the Trustee for performing any or all of the Distribution Functions and who are registered with MUFAP as Registered Service Providers. The Management Company may itself also performs the Distribution Function.

  • Eligible production company means that term as defined under section 455 of the Michigan business tax act, 2007 PA 36, MCL 208.1455.

  • Distribution center means a building or structure used primarily for the storage of goods which are intended for subsequent shipment to retail outlets. Distribution center does not mean a building or structure used primarily to store raw agricultural products, used primarily by a manufacturer to store goods to be used in the manufacturing process, used primarily for the storage of petroleum products, or used for the retail sale of goods.

  • UCITS management company means a management company as defined in Directive 2009/65/EC of the European Parliament and of the Council of 13 July 2009 on the coordination of laws, regulations and administrative provisions relating to undertakings for collective investment in transferable securities (UCITS)1;

  • Ohio Business Gateway means the online computer network system, created under section 125.30 of the Ohio Revised Code, that allows persons to electronically file business reply forms with state agencies and includes any successor electronic filing and payment system.

  • Management Company means the firm overseeing the operation and management of the Participating Property; and shall mean the Grantee in any event wherein the Management Company is required to perform any obligations under this Agreement.

  • Asset Management Plan means a plan created by the department and approved by the state transportation commission or a plan created by a local road agency and approved by the local road agency's governing body that includes provisions for asset inventory, performance goals, risk of failure analysis, anticipated revenues and expenses, performance outcomes, and coordination with other infrastructure owners.

  • Distribution Network Operator or “DSO” shall mean the operator of a Distribution Network.

  • Asset Management Company means an asset Management Company as defined in the Rules and Regulations.

  • Indirect holdings means all securities of a company that are held in an account or fund, including a mutual fund, that is managed by one or more persons who are not employed by the state treasurer or a retirement system, if the state treasurer or retirement system owns shares or interests either:

  • Direct service means providing services to minor or vulnerable adult when the services are rendered in the physical presence of the minor or vulnerable adult. Services include, but are not limited to: providing individual services such as counseling, mentoring, job coaching, training, job search activities, testing or providing mental health and medical services to DWS customers. See Title 62A, Utah Human Services Code, Chapter 5, Services for People with Disabilities.
