Customer and Employee Information means all disclosed data information however collected or received, including without limitation, through “cookies,” Web bugs or non-electronic means pertaining to or identifiable to Sxxxxx’x or Company’s customer(s) or prospective customer(s), Investment Advisors, and Plan Administrators or to any employees of Schwab or Company or their respective affiliates (collectively, “Customers and Employees”), including without limitation, (i) name, address, email address, passwords, personal financial information, personal preferences; demographic data; marketing data; data about securities transactions; credit data, or any other identification data; (ii) any information that reflects use of or interactions with a Service (as defined below), including its Web sites, including but not limited to, information concerning computer search paths, any profiles created or general usage data; (iii) any data otherwise submitted in the process of registering for a Service, including its Web sites and any data submitted during the course of using a Service, including its Web sites; or (iv) any data or information relating to an employee’s compensation, benefits, employment history, performance, and other personally identifiable employee information. “Service” means any service, including without limitation, any brokerage, banking, and other financial services, that Schwab or Company makes available to its customers, prospects and/or users through Web sites, desktops, email, wireless devices, or from any other communications channel or other medium developed, owned, licensed, operated, hosted, or otherwise controlled by or on behalf of Schwab or Company, their respective parent or their respective affiliates, subsidiaries or joint ventures. This Agreement shall not be construed as granting any ownership rights in Company or Schwab to the Customer and Employee Information of the other.
Customer and Employee Information means all disclosed data information however collected or received, including without limitation, through “cookies,” Web bugs or non-electronic means pertaining to or identifiable to Xxxxxx’x customer(s) or prospective customer(s), Investment Advisors, and Plan Administrators or to any employees of Schwab or its affiliates (collectively, “Schwab Customers and Employees”), including without limitation, (i) name, address, email address, passwords, personal financial information, personal preferences; demographic data; marketing data; data about securities transactions; credit data, or any other identification data; (ii) any information that reflects use of or interactions with a Schwab Service (as defined below), including its Web sites, including but not limited to, information concerning computer search paths, any profiles created or general usage data; (iii) any data otherwise submitted in the process of registering for a Schwab Service, including its Web sites and any data submitted during the course of using a Schwab Service, including its Web sites; or (iv) any data or information relating to an employee’s compensation, Confidentiality Agreement 3 Xxxxxxx Xxxxxx & Co., Inc.

Examples of Customer and Employee Information in a sentence

  • Subject to the further provisions of this Section 4A(c), BNYM will not retain any Customer and Employee Information that is not Current Qualifying Confidential Information for any period longer than necessary for BNYM to fulfill its obligations under this Agreement.

  • Any Customer and Employee Information that is not Current Qualifying Confidential Information retained by BNYM after it is no longer needed for BNYM to perform its duties under this Agreement or retained by BNYM beyond expiration or termination of this Agreement shall continue to be subject to BNYM’s obligations with respect to Customer and Employee Information under this Agreement.

  • BNYM agrees that it will not use or sell to others lists containing Fund Customer and Employee Information.

  • As soon as BNYM no longer needs to retain Customer and Employee Information that is not Current Qualifying Confidential Information in order to perform its duties under this Agreement, BNYM will return or destroy or erase all originals and copies of such Customer and Employee Information in accordance to its retention policies.

  • BNYM agrees that BNYM will use Customer and Employee Information only in compliance with: (a) this Agreement; and (b) all laws applicable to BNYM (including but not limited to laws related to spamming, privacy, and consumer protection).

  • The Receiving Party will use reasonable efforts not to release Confidential Information, including Customer and Employee Information, pending the outcome of any measures taken by the Disclosing Party to contest, otherwise oppose or seek to limit such disclosure by the Receiving Party and any subsequent disclosure or use of Confidential Information, including Customer and Employee Information, that may result from such disclosure.

  • Notwithstanding any such compelled disclosure by the Receiving Party, such compelled disclosure will not otherwise affect the Receiving Party’s obligations hereunder with respect to Confidential Information, including Customer and Employee Information, so disclosed.

  • As between the Fund and BNYM, Customer and Employee Information (as defined below) is and will remain the sole and exclusive property of the Fund and, as applicable, its third-party institutional investment advisors ("Investment Advisors") and third-party plan administrators ("Plan Administrators").

  • Except as provided in Section 4, this Agreement shall not be construed as granting or conferring any rights to either party by license or otherwise, expressly or implicitly, to Confidential Information, Customer and Employee Information, or any invention, discovery or improvement made, conceived or acquired prior to or after the Effective Date.

  • In the event of termination of this Agreement, the parties shall continue to hold the Confidential Information in strict confidence as set forth herein for ten (10) years from the date of termination, except with regard to (i) any Customer and Employee Information (defined below) which shall be held in strict confidence in perpetuity or (ii) trade secrets of Schwab, which shall be held in confidence for as long as such information remains a trade secret.

Customer and Employee Information means all disclosed data information however collected or received, including without limitation, through "cookies," Web bugs or non-electronic means pertaining to or identifiable to the Fund’s shareholders or prospective shareholders, Investment Advisors, and Plan Administrators or to any employees of the Fund or its Business Units (collectively, "Fund Customers and Employees"), including without limitation: (a) name, address, email address, passwords, account numbers, personal financial information, personal preferences; demographic data; marketing data; data about securities transactions; portfolio holdings of any registered investment company for which the Fund serves as investment adviser; credit data; or any other identification data; (b) any information that reflects use of or interactions with a Fund Service (as defined below), including its Web sites, including but not limited to, information concerning computer search paths, any profiles created or general usage data; (c) any data otherwise submitted in the process of registering for a Fund Service, including its Web sites and any data submitted during the course of using a Fund Service, including its Web sites; or (d) any data or information relating to an employee’s compensation, benefits, employment history, performance, and other personally identifiable employee information. For the avoidance of doubt, Customer and Employee Information shall include all "nonpublic personal information," as defined under the Xxxxx-Xxxxx-Xxxxxx Act (15 United States Code § 6801 et seq.). "Fund Service" means any service, including without limitation, any financial, banking, or brokerage service, that the Fund makes available to its customers, prospects and/or users through Web sites, desktops, email, wireless devices, or from any other communications channel or other medium developed, owned, licensed, operated, hosted, or otherwise controlled by or on behalf of the Fund, its parent or their respective affiliates, subsidiaries, franchisees, or joint ventures. This Agreement shall not be construed as granting any ownership rights in BNYM to Customer and Employee Information. Notwithstanding any other provision of this Agreement, the Fund represents and warrants that it will not furnish non-public personal information to BNYM at any time in connection with this Agreement.

Related to Customer and Employee Information

  • Employee Information means for each Divestiture Clinic Employee, to the extent permitted by law, the following information summarizing the employment history of each employee that includes:

  • Business Confidential Information has the meaning set forth in Section 5.04(a).

  • Data Room Information means the information and documents listed in the index of documents contained in the Data Site attached to the Company Disclosure Letter;

  • Contractor attributional/proprietary information means information that identifies the contractor(s), whether directly or indirectly, by the grouping of information that can be traced back to the contractor(s) (e.g., program description, facility locations), personally identifiable information, as well as trade secrets, commercial or financial information, or other commercially sensitive information that is not customarily shared outside of the company.

  • Appendix Information means the information which must be provided for the selected modules as set out in the Appendix of the Approved EU SCCs (other than the Parties), and which for this Addendum is set out in:

  • Contractor attributional/proprietary information means information that identifies the contractor(s), whether directly or indirectly, by the grouping of information that can be traced back to the contractor(s) (e.g., program description, facility locations), personally identifiable information, as well as trade secrets, commercial or financial information, or other commercially sensitive information that is not customarily shared outside of the company.

  • Proprietary Data means Data embodying trade secrets developed at private expense or commercial or financial information that is privileged or confidential, and that includes a restrictive notice, unless the Data is:

  • Customer Confidential Information means Confidential Information of the Customer provided to Computershare.

  • Confidential personal information means a party’s or a party’s child’s Social Security number; date of birth; driver license number; any other names used, now or in the past; and employer’s name, address, and telephone number.

  • Confidential or Proprietary Information means any secret, confidential or proprietary information of the Company or an affiliate (not otherwise included in the definition of a Trade Secret under this Employment Agreement) that has not become generally available to the public by the act of one who has the right to disclose such information without violation of any right of the Company or its affiliates.

  • Confidential and Proprietary Information means any information that is classified as confidential in the Firm’s Global Policy on Confidential Information or that may have intrinsic value to the Firm, the Firm’s clients or other parties with which the Firm has a relationship, or that may provide the Firm with a competitive advantage, including, without limitation, any trade secrets; inventions (whether or not patentable); formulas; flow charts; computer programs; access codes or other systems information; algorithms; technology and business processes; business, product or marketing plans; sales and other forecasts; financial information; client lists or other intellectual property; information relating to compensation and benefits; and public information that becomes proprietary as a result of the Firm’s compilation of that information for use in its business, provided that such Confidential and Proprietary Information does not include any information which is available for use by the general public or is generally available for use within the relevant business or industry other than as a result of your action. Confidential and Proprietary Information may be in any medium or form, including, without limitation, physical documents, computer files or discs, electronic communications, videotapes, audiotapes, and oral communications.

  • Customer information systems means any methods used to access, collect, store, use, transmit, protect, or dispose of customer in- formation.

  • Proprietary and Confidential Information means trade secrets, confidential knowledge, data or any other proprietary or confidential information of the Company or any of its affiliates, or of any customers, members, employees or directors of any of such entities, but shall not include any information that (i) was publicly known and made generally available in the public domain prior to the time of disclosure to Executive by the Company or (ii) becomes publicly known and made generally available after disclosure to Executive by the Company other than as a result of a disclosure by Executive in violation of this Agreement. By way of illustration but not limitation, “Proprietary and Confidential Information” includes: (i) trade secrets, documents, memoranda, reports, files, correspondence, lists and other written and graphic records affecting or relating to any such entity’s business; (ii) confidential marketing information including without limitation marketing strategies, customer and client names and requirements, services, prices, margins and costs; (iii) confidential financial information; (iv) personnel information (including without limitation employee compensation); and (v) other confidential business information.

  • Non-Public Personal Information about a Shareholder shall mean (i) personally identifiable financial information; (ii) any list, description, or other grouping of consumers that is derived from using any personally identifiable information that is not publicly available; and (iii) any other information that the Transfer Agent is prohibited from using or disclosing pursuant to Regulation S-P under Section 504 of the Gramm Xxxxx Xxxxxx Act.

  • Confidential Business Information means any internal, non-public information (other than Trade Secrets already addressed above) concerning the Employer’s financial position and results of operations (including revenues, assets, net income, etc.); annual and long-range business plans; product or service plans; marketing plans and methods; training, educational and administrative manuals; customer and supplier information and purchase histories; and employee lists. The provisions of Sections 6 and 7 shall also apply to protect Trade Secrets and Confidential Business Information of third parties provided to the Employer under an obligation of secrecy.

  • Contractor's Confidential Information means any information, however it is conveyed, that relates to the business affairs, developments, trade secrets, know-how, Contractor’s Personnel and suppliers of the Contractor, including IPRs, together with all information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential, including the Commercially Sensitive Information.

  • Nonpublic Personal Information means nonpublic personal financial information and nonpublic personal health information.

  • Customer Proprietary Network Information (“CPNI”) is as defined in the Act.

  • Confidentiality Agreements is defined in Section 5.5(e) hereof.

  • Buyer Confidential Information shall have the meaning set forth in Section 5.1.

  • Supplier's Confidential Information means any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, Know-How, personnel and suppliers of the Supplier, including IPRs, together with information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential;

  • Customer Personal Data means the personal data contained within the Customer Data.

  • Employee Liability Information means the information which a transferor is obliged to notify to a transferee pursuant to Regulation 11(2) of TUPE regarding any person employed by him who is assigned to the organised grouping of resources or employees which is the subject of a relevant transfer and also such employees as fall within Regulation 11(4) of TUPE;
