CP Satisfaction Date definition

CP Satisfaction Date means the date on which all of the Conditions Precedent have been satisfied (or waived in writing by the Party described in Section 2.4).

CP Satisfaction Date means the date upon which the conditions set out in clause 5.1 have been fulfilled or, where capable of waiver, waived, as the case may be;

CP Satisfaction Date means the date on which all Conditions Precedent have been satisfied or waived in accordance with this Agreement.

• Each Party agrees and acknowledges that (a) the actual damages that Buyer would incur due to an Event of Default of Seller prior to the CP Satisfaction Date would be difficult or impossible to predict with certainty, (b) the liquidated damages set forth in this section are a reasonable and appropriate approximation of such damages, and (c) the liquidated damages set forth in this section are the exclusive remedy for an Event of Default of Seller prior to the CP Satisfaction Date.

• From the Effective Date to the CP Satisfaction Date, Seller shall provide and maintain Performance Assurance in an amount equal to $[________] [NOTE to Bidders: Please see RFO document for collateral requirements.] (the “Pre-Construction Security”) in order to secure Seller’s obligations hereunder.

• Prior to the CP Satisfaction Date, Buyer shall (i) use commercially reasonable efforts to pursue satisfaction of the Conditions Precedent set forth in Section 2.4.1, and (ii) otherwise comply with its obligations, covenants, representations, and warranties under Sections 3, 5, 6, 10, 11, 12, 13, 18, 19, 20, 21, 22, 23, 24 and 25.

More Definitions of CP Satisfaction Date

CP Satisfaction Date means the date by which the Conditions Precedent must be satisfied by the Recipient, as specified in item 12 of the Project Details.
