Consolidated Adjusted Funded Debt definition

Consolidated Adjusted Funded Debt means, as of any date of determination, for the Borrower and its Subsidiaries on a consolidated basis, the sum of (a) the total amount of Consolidated Funded Debt, plus (b) the Debt Equivalent of Operating Leases.
Consolidated Adjusted Funded Debt means, as of any date of determination, without duplication, (a) the aggregate principal amount of all Funded Debt of Hyatt and its Subsidiaries on a consolidated basis minus (b) the lesser of (i) $100,000,000 and (ii) the aggregate outstanding principal amount of all Guaranty Obligations of Hyatt or any of its Subsidiaries of Funded Debt of all other Persons minus (c) the lesser of (i) $200,000,000 and (ii) contingent reimbursement obligations of Hyatt or any of its Subsidiaries with respect to the undrawn stated amount of letters of credit but excluding, for the avoidance of doubt, any unreimbursed drafts drawn with respect to any such letter of credit.
Consolidated Adjusted Funded Debt. At any time, the aggregate Outstanding principal amount of Funded Debt of the Company and the Consolidated Subsidiaries (whether owed by more than one of them jointly or by any of them singly) at such time determined on a consolidated basis and, except with respect to items (f) and (g) of the definition of Funded Debt, determined in accordance with GAAP.

  • As of the end of each fiscal quarter, permit the ratio of Consolidated Adjusted Funded Debt on such date to Consolidated EBITDAR for the Measurement Period ending on such date to exceed 4.00 to 1.00.

More Definitions of Consolidated Adjusted Funded Debt

Consolidated Adjusted Funded Debt means all Consolidated Funded Debt (i) minus Guaranteed Amounts to the extent included in determining such Consolidated Funded Debt and (ii) plus Additional Funded Debt; provided, however, that (a) no Funded Debt shall for purposes of this definition be included as Consolidated Funded Debt if money sufficient to pay such Funded Debt in full (either on the date of maturity expressed therein or on such earlier date as such Funded Debt may be called for redemption) shall be held in trust for such purpose by the trustee or proper depository under the instrument pursuant to which such Funded Debt was issued, and (b) in the event of the issuance of Funded Debt ("New Funded Debt"), for purposes of this definition there shall be excluded from Consolidated Funded Debt at the time of such issuance and thereafter:
Consolidated Adjusted Funded Debt means, as of any date of determination for the Borrower and its Subsidiaries on a consolidated basis, the sum of (i) Consolidated Funded Debt as of such date and, (ii) without duplication, the present value (determined based on a discount rate of ten percent (10%) in accordance with discounted present value analytical technology) as of such date, of all remaining payments due under leases and financing obligations (excluding capital leases and financing obligations already included in the calculation of Consolidated Funded Debt), whether for retail stores, distribution centers, administrative office space, furniture, fixtures, equipment, or other tangible assets, in each case determined on a consolidated basis in accordance with GAAP.

Consolidated Adjusted Funded Debt. At any Quarterly Measurement Date, the sum of: (a) the aggregate outstanding principal amounts of the Revolving Loans and the Swingline Loans, plus 7 times the Rent Expense for the Measurement Period ending at such Quarterly Measurement Date; plus (b) the Letter of Credit Obligations; plus (c) the aggregate outstanding principal amount of the Borrower’s consolidated Indebtedness for borrowed money including, without limitation, the balance sheet amount of Capitalized Lease Obligations, other interest bearing Indebtedness and any Seller Financing; plus (d) the Borrower’s consolidated Contingent Obligations relating to the same type of Indebtedness as described in clause (c) above.
Consolidated Adjusted Funded Debt. On any Quarterly Measurement Date, the sum (without duplication) of: (a) the aggregate outstanding principal amounts of the Revolving Loans, the Term Loans and the Swingline Loans, plus 6 times the Rent Expense (excluding rent paid to a Subsidiary that is used to make payments on Permitted Permanent Loans included in clause (c) below) for the Measurement Period ending on such Quarterly Measurement Date; plus (b) the LC Obligations; plus (c) to the extent not included in clauses (a) or (b) above, the aggregate outstanding principal amount of the consolidated Indebtedness of Company and its Restricted Subsidiaries for borrowed money including, without limitation, the balance sheet amount of Capitalized Lease Obligations, other interest-bearing Indebtedness, and any Seller Financing; plus (d) the consolidated Contingent Obligations of Company and its Restricted Subsidiaries relating to the same type of Indebtedness as described in clause (c) above.
