Any reference in these Conditions to any amounts in respect of interest (including payments of Guaranteed Amounts in respect of interest) payable in respect of the Notes or the Guarantee shall be deemed also to refer to any Additional Amounts which may be payable under this Condition 10 or under any undertakings given in addition to, or in substitution for, this Condition 10 pursuant to the Trust Deed.
In such circumstances, Noteholders shall be entitled to claim solely against the Issuer, and shall have no claim against the Guarantor in respect of Guaranteed Amounts or any other amounts whatsoever under or in connection with the Notes or this Trust Deed.
However, any failure to provide such notice will not invalidate the cancellation of the relevant Interest Payment (or Guaranteed Amounts in respect thereof) nor constitute a default or an event of default on the part of the Issuer or the Guarantor for any purpose.
This Guaranty shall continue in full force and effect from the Effective Date until the earlier of the following: (x) all Guaranteed Amounts have been paid in full (whether directly or indirectly through set-off or netting of amounts owed by Buyer to Seller), (y) replacement Performance Security is provided in an amount and form required by the terms of the PPA, or (z) one hundred eighty (180) days after the early termination of the PPA or expiration of the PPA by its terms.
Notwithstanding any payments that may be made hereunder by the Guarantor, Guarantor hereby agrees that until the earlier of payment in full of all Guaranteed Amounts or expiration of the Guaranty in accordance with Paragraph 3, it shall not be entitled to, nor shall it seek to, exercise any right or remedy arising by reason of its payment of any Guaranteed Amount under this Guaranty, whether by subrogation or otherwise, against Seller or seek contribution or reimbursement of such payments from Seller.
