Guaranteed Amounts definition

Guaranteed Amounts means the amounts due from time to time from the Issuer to (i) the Covered Bondholders with respect to each Series of Covered Bonds (excluding any additional amounts payable to the Covered Bondholders under Condition 9(a) (Gross-up by the Issuer)) and (ii) the Other Issuer Creditors pursuant to the relevant Transaction Documents.
Guaranteed Amounts means prior to the service of a Guarantor Acceleration Notice, with respect to any Original Due for Payment Date or, if applicable, any Extended Due for Payment Date, the sum of Scheduled Interest and Scheduled Principal, in each case, payable on that Original Due for Payment Date or, if applicable, any Extended Due for Payment Date, or after service of a Guarantor Acceleration Notice, an amount equal to the relevant Early Redemption Amount as specified in the Conditions plus all accrued and unpaid interest and all other amounts due and payable in respect of the Covered Bonds, including all Excluded Scheduled Interest Amounts, all Excluded Scheduled Principal Amounts (whenever the same arose) and all amounts payable by the Guarantor under the Trust Deed;

Examples of Guaranteed Amounts in a sentence

  • Any reference in these Conditions to any amounts in respect of interest (including payments of Guaranteed Amounts in respect of interest) payable in respect of the Notes or the Guarantee shall be deemed also to refer to any Additional Amounts which may be payable under this Condition 10 or under any undertakings given in addition to, or in substitution for, this Condition 10 pursuant to the Trust Deed.

  • In such circumstances, Noteholders shall be entitled to claim solely against the Issuer, and shall have no claim against the Guarantor in respect of Guaranteed Amounts or any other amounts whatsoever under or in connection with the Notes or this Trust Deed.

  • However, any failure to provide such notice will not invalidate the cancellation of the relevant Interest Payment (or Guaranteed Amounts in respect thereof) nor constitute a default or an event of default on the part of the Issuer or the Guarantor for any purpose.

  • This Guaranty shall continue in full force and effect from the Effective Date until the earlier of the following: (x) all Guaranteed Amounts have been paid in full (whether directly or indirectly through set-off or netting of amounts owed by Buyer to Seller), (y) replacement Performance Security is provided in an amount and form required by the terms of the PPA, or (z) one hundred eighty (180) days after the early termination of the PPA or expiration of the PPA by its terms.

  • Notwithstanding any payments that may be made hereunder by the Guarantor, Guarantor hereby agrees that until the earlier of payment in full of all Guaranteed Amounts or expiration of the Guaranty in accordance with Paragraph 3, it shall not be entitled to, nor shall it seek to, exercise any right or remedy arising by reason of its payment of any Guaranteed Amount under this Guaranty, whether by subrogation or otherwise, against Seller or seek contribution or reimbursement of such payments from Seller.


More Definitions of Guaranteed Amounts

Guaranteed Amounts means, in respect of a Series:
Guaranteed Amounts means all Residential Fees, any Enhanced Room Fees and any Post- death Fees due from you to us under this Agreement unless any part of them are covered by Authority Funding (see clause 31 generally and 31.5 in particular).
Guaranteed Amounts means the amounts guaranteed by the Guarantor, in respect of each Series, being: (a) the Asset Portfolio Revenues to be paid into the relevant Transaction Account by the Services Agent in accordance with the terms of the Service Agency Agreement; (b) any Deferred Sale Price to be paid into the relevant Transaction Account pursuant to the Master Murabaha Agreement and relevant Murabaha Contract; (c) any Total Loss Shortfall Amount; (d) any Exercise Price payable under the Purchase Undertaking and the Trustee Sale and Purchase Undertaking; and (e) any amount payable by Majid Al Futtaim Properties under clause 2.3 of the Purchase Undertaking;
Guaranteed Amounts means, with respect to any Due Date, the sum of (without double counting) the following:
Guaranteed Amounts means the amounts due from time to time by the Issuer to Bondholders with respect to each Series or Tranche of Covered Bonds.
Guaranteed Amounts means any and all amounts whatsoever (including, without limitation, interest after the filing of a petition initiating a proceeding referred to in clause 14.1(F), whether or not such interest constitutes an allowed claim for the purposes of such proceeding) which are to be paid by the Borrowers (or any of them) to the Facility Agent or the Lenders (or any of them) under the Financing Documents;
Guaranteed Amounts means, in relation to a Series of Notes, all amounts payable by the relevant Issuer under the Notes of such Series.
