"Change of Control" shall be deemed to have occurred for a Party if: (a) there shall be consummated (i) any consolidation or merger of such Party in which such Party is not the continuing or surviving corporation, or pursuant to which shares of such Party's common stock would be converted into cash, securities or other property, other than a merger of the Party in which the holders of such Party's common stock immediately prior to the merger have substantially the same proportionate ownership of common stock of the surviving corporation immediately after the merger, or (ii) any sale, lease, exchange or other transfer (in one transaction or a series of related transactions) of substantially all of the assets of such Party, but only if such sale, lease, exchange or transfer would, by its nature, include an assignment of the rights or obligations under this Agreement; or (b) the stockholders of such Party shall approve any plan or proposal for the liquidation or dissolution of such Party; or (c) any transaction (such as a merger, tender or exchange offer, open market purchases, privately negotiated purchases, or otherwise) as a result of which (i) any person (as such term is used in section 13(d) and 14(d) (2) of the Securities Exchange Act of 1934 (the "Exchange Act")) shall become the beneficial owner (within the meaning of Rule 13d-3 under the Exchange Act) of securities representing more than fifty (50%) of voting securities of such Party having the voting power of such Party's then outstanding securities ordinarily (and apart from rights accruing in special circumstances) having the right to vote in the election of directors, or (ii) in the case of Chartered, Samsung, or IFX, any person (as such term is used in section 13(d) and 14(d) (2) of the Exchange Act) that is a person who, either directly or through its subsidiaries derives more than fifty percent (50%) of its revenue (as measured as of the end of the most recent fiscal year of such person) from the manufacture and/or sale of Semiconductor Products becomes the beneficial owner (within the meaning of Rule 13d-3 under the Exchange Act) of securities representing more than (a) in the case of Chartered, thirty percent (30%) of voting securities having the voting power of Chartered's then outstanding securities ordinarily (and apart from rights accruing in special circumstances) having the right to vote in the election...
