Parent Reports definition

Parent Reports has the meaning set forth in Section 4.5(a).
Parent Reports means the reports, forms, proxy statements, prospectuses, registration statements and other statements, certifications and documents that are required to be or are otherwise filed with or furnished to the SEC pursuant to the Exchange Act or the Securities Act by Parent, including notes, exhibits and schedules thereto and all other information incorporated by reference and any amendments and supplements thereto.
Parent Reports shall have the meaning specified in Section 5.07(a).

Examples of Parent Reports in a sentence

  • As of their respective dates (or, if amended prior to the date of this Agreement, as of the date of such amendment), the Parent Reports did not, and any Parent Reports filed with or furnished to the SEC subsequent to the date of this Agreement will not, contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements made therein, in light of the circumstances in which they were made, not misleading.

  • Each of the Parent Reports, at the time of its filing or being furnished, complied or, if not yet filed or furnished, will comply in all material respects with the applicable requirements of the Securities Act, the Exchange Act and the Sarbanes-Oxley Act, and any rules and regulations promulgated thereunder applicable to the Parent Reports.

More Definitions of Parent Reports

Parent Reports means all forms, reports, statements and all other documents required to be filed by the Parent with the SEC since November 10, 1999.
Parent Reports has the meaning set forth in Section 6.6(c).
