Award Shares definition

Award Shares means Shares covered by an outstanding Award or purchased under an Award.

Award Shares means the shares of Common Stock of the Company issued or issuable pursuant to a Stock Award, including Option Shares issued or issuable pursuant to an Option.

Award Shares means fully-paid, non-assessable shares of Class A Common Stock that are issued or transferred pursuant to, and with such restrictions as are imposed by, the terms of this Plan and the Guidelines. Such shares may be shares of original issuance or treasury shares or a combination of the foregoing and, in the discretion of the Company, may be issued as certificated or uncertificated shares.

Examples of Award Shares in a sentence

• The restrictions of this Section 2.1 shall not apply to Vested Award Shares.

• Recipient shall have no rights whatsoever (dividend, voting or otherwise) with respect to Award Shares which have been forfeited under Section 1.3.

• None of the Unvested Award Shares may be conveyed, pledged, assigned, transferred, hypothecated, encumbered, or otherwise disposed of by Recipient, except as provided in Section 2.2 below or as otherwise authorized by the Committee in writing, and any attempt to do so with respect to Unvested Award Shares shall be null and void ab initio.

• By the execution of this Agreement, the Recipient hereby accepts the Award Shares subject to all terms and provisions of this Agreement and the Plan, which is incorporated herein by this reference.

• Recipient shall be entitled to any cash distributions or dividends paid or declared on Vested and Unvested Award Shares for which the record date is on or after the date such Award Shares have been issued in the Recipient’s name; provided, however, any dividends paid in the form of common stock of the Company shall be considered Award Shares and shall be subject to all terms and provisions of this Agreement as the underlying Award Shares.

More Definitions of Award Shares

Award Shares means shares of Sensormatic Common Stock awarded to Executive pursuant to Sensormatic's Stock Incentive Plan or any other compensation plan or arrangement of Sensormatic, other than pursuant to the exercise of options, and the term "Market Value" shall mean the average of the high and low sales prices of a share of such Common Stock on the applicable date (or most recent date on which one or more sales occurred) as reported through NASDAQ or the principal exchange on which such Common Stock was listed for trading.

Award Shares means shares of common stock covered by a Stock Award.

Award Shares means the shares of Common Stock covered by this Award Agreement.

Award Shares means the aggregate number of Shares issued or issuable to Participant pursuant to this Agreement, which number of Shares is set forth on the facing page of this Agreement.

Award Shares means any and all shares of common stock or cash to which you may become entitled upon the vesting, exercise or settlement of the 2020 Award or the Prior Awards, as applicable. Exhibit 10.2

Award Shares means Common Shares that may be issued in the future to a Service Provider in connection with the grant, vesting or settlement of or upon the exercise of an Award;

Award Shares means the Common Shares issued by the Company in payment of the Award.
