Auction Period Rate definition

Auction Period Rate means the Auction Rate or any other rate of interest to be borne by the Notes during each Auction Period determined in accordance with Section 2.04 of this Exhibit; provided, however, in no event may the Auction Period Rate exceed the Maximum Rate.
Auction Period Rate. ’ means the rate of interest to be borne by the Auction Rate Bonds during each Auction Period determined in accordance with the Auction Procedures, in no event to exceed the Maximum Auction Rate.
Auction Period Rate means the rate of interest to be borne by the 2006 Series J-1 Bonds during each Auction Period determined in accordance with the section entitled “Auction ProceduresDetermination of Auction Period Rate” below; provided, however, in no event may the Auction Period Rate exceed the Maximum Rate.

Auction Period Rate means, with respect to Bonds of each sub-series, the rate of interest to be borne by the Bonds of such sub-series during each Auction Period determined in accordance with the section entitled “Determination of Auction Period Rate” in APPENDIX G – MULTI-MODAL PROVISIONS – EXHIBIT IAUCTION PROCEDURES”; provided,
Auction Period Rate means the rate of interest per annum on any Auction Date that results from the implementation of the Auction Procedures, and determined as described in Article III of the First Supplemental Indenture.
Auction Period Rate shall have the meaning given to such term in Appendix B hereto.
Auction Period Rate a "Daily Rate," a "Weekly Rate," a "Monthly Rate," a "Semi-annual Rate" or a "Term Rate" (each of the foregoing referred to as an "Adjustable Rate") or a "Fixed Rate". Anything in the Indenture to the contrary notwithstanding, in no event shall the interest rate borne by any Bond exceed the maximum rate allowable by applicable law. During any Commercial Paper Rate Period, at or prior to 12:30 noon (New York City time) on each Determination Date, the Remarketing Agent shall establish Calculation Periods and related Commercial Paper Rates. In determining Calculation Periods, the Remarketing Agent shall take into account certain factors set forth in the Indenture. The Remarketing Agent shall select the Calculation Periods and the applicable Commercial Paper Rates that, together with all other Calculation Periods and related Commercial Paper Rates, in the sole judgment of the Remarketing Agent, will result in the lowest overall borrowing cost on the Bonds or are otherwise in the best financial interests of the Company, as determined in consultation with the Company.
