Antigen-Specific Technology definition

Antigen-Specific Technology means any intellectual property or technology or other proprietary rights of ABX in or to ABX Proprietary Antigens, including: (i) compositions of such Antigens and Genetic Materials encoding such Antigens; (ii) uses of such Antigens; (iii) antibodies that bind to such Antigens and Genetic Materials encoding such antibodies, and cells that express or secrete such antibodies; and (iv) uses of antibodies to such Antigens; provided, however, that Antigen-Specific Technology shall not include rights in and to such intellectual property created in connection with the performance of services for CGI under Article 3 of the Gene Therapy Rights Agreement to the extent such intellectual property is reasonably necessary for CGI to make, use, sell, or otherwise exploit Covered Products in accordance with a CGI Product Sublicense. Antigen-Specific Technology shall also include methods to discover novel Antigens and methods of using Antigens other than to create Antibodies pursuant to the Gene Therapy Rights Agreement.
Antigen-Specific Technology means, with respect to a Proposed Antigen or Collaboration Antigen (irrespective of whether such Collaboration Antigen becomes a Discontinued Antigen or a Failed Antigen), collectively, (a) such Antigen; (b) Antibody Equivalents that bind to and are directed against such Antigen; (c) amino acid sequences of such Antigen or Antibody Equivalents; (d) Genetic Material that encodes such Antigen or Antibody Equivalents; (e) Antibody Cells that contain, express or secrete such Antibody Equivalents or Genetic Materials that encode such Antibody Equivalents; (f) uses of the foregoing; and (g) Information specifically regarding the foregoing; in each case (of clauses (a) through (g)) that are not first conceived or generated under or in connection with the Research Program or Development Program for such Antigen; provided, however, that Antigen-Specific Technology shall exclude Collaboration Technology, Additional Development Program Technology, Development Program Technology, Process Technology, XenoMouse Technology and any Information from any freedom to operate analyses conducted by AZ pursuant to Section 2.2.2(a).

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Manufacturing Technology means any and all patents, patent applications, Know-How, and all intellectual property rights associated therewith, and including all tangible embodiments thereof, that are necessary or useful for the manufacture of adeno- associated viruses, adeno-associated virus vectors, research or commercial reagents related thereto, Licensed Products, or other products, including manufacturing processes, technical information relating to the methods of manufacture, protocols, standard operating procedures, batch records, assays, formulations, quality control data, specifications, scale up, any and all improvements, modifications, and changes thereto, and any and all activities associated with such manufacture. Any and all chemistry, manufacturing, and controls (CMC), drug master files (DMFs), or similar materials provided to regulatory authorities and the information contained therein are deemed Manufacturing Technology.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Cell Line means a mammalian cell line that is developed using the Selexis Technology.

  • Third Party Technology means all Intellectual Property and products owned by third parties and licensed pursuant to Third Party Licenses.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • Collaboration Know-How means all Know-How and Materials discovered, created, conceived, developed or reduced to practice in the course of performing activities under the Collaboration Program (whether solely by one Party or jointly by the Parties, in each case with their Affiliates or any Third Parties or any employees, consultants or agents of any of the foregoing which perform activities under the Collaboration Program).

  • Antibody means a molecule or a gene encoding such a molecule comprising or containing one or more immunoglobulin variable domains or parts of such domains or any existing or future fragments, variants, modifications or derivatives thereof.

  • New Technology means any invention, discovery, improvement, or innovation that was not available to the District on the effective date of the contract, whether or not patentable, including, but not limited to, new processes, emerging technology, machines, and improvements to or new applications of existing processes, machines, manufactures and software. Also included are new computer programs, and improvements to, or new applications of, existing computer programs, whether or not copyrightable and any new process, machine, including software, and improvements to, or new applications of, existing processes, machines, manufactures and software.

  • Developed Technology means any Technology including, without limitation, any enhancements, substitutions or improvements to the Core Technology that is (a) discovered, developed or otherwise acquired by DURA pursuant to the terms of the Development Agreement or (b) otherwise acquired by or on behalf of Xxxxxx Corp. II during the term of the Development Agreement.

  • Manufacturing Know-How means, with respect to the Product or any Variant thereof, the technology, data, designs, processes, methods, specifications and other know-how used in connection with the formulation, manufacture, labeling, packaging, quality control, release testing, and production of the Product, and all ingredients used therein and portions thereof.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Company Technology means all Technology used in or necessary for the conduct of the business of the Company or any of its Subsidiaries, or owned or held for use by the Company or any of its Subsidiaries.

  • Product Technology means the Product Know-How and Product Patents.

  • Research Use shall have the meaning given in Section 2.2.2 of this Agreement.

  • Program Technology means Program Know-How and Program Patents.

  • Biological Materials means certain tangible biological materials that are necessary for the effective exercise of the Patent Rights, which materials are described on Exhibit A, as well as tangible materials that are routinely produced through use of the original materials, including, for example, any progeny derived from a cell line, monoclonal antibodies produced by hybridoma cells, DNA or RNA replicated from isolated DNA or RNA, recombinant proteins produced through use of isolated DNA or RNA, and substances routinely purified from a source material included in the original materials (such as recombinant proteins isolated from a cell extract or supernatant by non-proprietary affinity purification methods). These Biological Materials shall be listed on Exhibit A, which will be periodically amended to include any additional Biological Materials that Medical School may furnish to Company.

  • Collaboration Technology means all Collaboration Patents and Collaboration Know-How.

  • Collaboration IP means Collaboration Know-How and Collaboration Patents.

  • Background Technology means all Software, data, know-how, ideas, methodologies, specifications, and other technology in which Contractor owns such Intellectual Property Rights as are necessary for Contractor to grant the rights and licenses set forth in Section 14.1, and for the State (including its licensees, successors and assigns) to exercise such rights and licenses, without violating any right of any Third Party or any Law or incurring any payment obligation to any Third Party. Background Technology must: (a) be identified as Background Technology in the Statement of Work; and (b) have been developed or otherwise acquired by Contractor prior to the date of the Statement of Work, or have been developed by Contractor outside of its performance under the Statement of Work. Background Technology will also include any general consulting tool or methodology created by Contractor, which will not be required to be identified in the Statement of Work.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.
