AFFILATE definition

AFFILATE means a governmental agency or other not-for-profit entity that has executed a copy of the Affiliate Agreement in the form attached hereto as Attachment A.

AFFILATE of a party means a person or entity which controls, is controlled by, or is under common control with, a party, for as long as such control exists. “Control” for purposes of this definition means (i) in the case of corporate entities, direct or indirect ownership of fifty percent (50%) or more of the stock or shares entitled to vote for the election of directors, and (ii) in the case of non-corporate entities, direct or indirect ownership of fifty percent (50%) or more of the equity or income interest therein.

  • AFFILATE represents and warrants that it is not engaged in business with Iran, Sudan, or a foreign terrorist organization, as prohibited by Section 2252.152, Texas Government Code, as applicable.

AFFILATE of any specified Person means any other Person directly or indirectly controlling or controlled by or under direct or indirect common control with such specified Person.
