  • No delay or omission by either party to exercise any right occurring upon any noncompliance or default by the other party with respect to any of the terms of this Adopter Member Agreement shall impair any such right or power or be construed to be a waiver thereof.

  • ☐ - MULTI-MEMBER The “Capital Account” for each Member shall mean the account created and maintained for the Member in accordance with Section 704(b) of the Internal Revenue Code and Treasury Regulation Section 1.704-1(b)(2)(iv).
