Class B Member definition

Class B Member means a Member holding one or more Class B Ordinary Shares.

Class B Member means a holder of a Class B Membership Interest.

Class B Member means any Person (i) who has become a Member pursuant to the terms of this Agreement, and (ii) who is the owner of one or more Class B Units. “Class B Members” means all such Persons.

• Any Portfolio Company Remuneration received by any Class A Member, Class B Member or Designated Representative shall be received by such Member in such Member’s capacity as an employee or member of the Management Company, and shall be remitted to the Management Company on the terms and conditions established by the Manager, in a manner consistent with the Fund Agreement.

• Each Class A Member and Class B Member (other than an Affiliated Member) or, if a Class A Member or Class B Member has a Designated Representative, such Designated Representative, hereby agrees to undertake, from time to time, such activities on behalf of the Company as the Manager shall determine, subject to the other provisions of this 4.2. Each Member and Designated Representative, by executing this Agreement, agrees to be bound by the terms of the Fund Agreement applicable to such Person.

More Definitions of Class B Member

Class B Member means a Member holding Class B Units, in its capacity as such. “Class B Units” means the Units having the privileges, preference, duties, liabilities, obligations and rights specified with respect to “Class B Units” in this Agreement.

Class B Member means a Member holding Class B Units.

Class B Member means a Person designated as a Class B member of the Company pursuant to the terms of the operating agreement of the Company.

Class B Member means a holder of Class B Units as relates to the ownership of such Units, executing this Agreement as a Class B Member or hereafter admitted to the Company as a Class B Member as provided in this Agreement, but does not include any Person who has ceased to be a Member.

Class B Member has the meaning set forth in the Preamble.

Class B Member means the Initial Class B Member, and includes any successor or permitted assign of such Initial Class B Member and each additional and/or subsequent Class B Member.
