Work Permits/Visas. For work which may require a work permit and/or visa (assuming you wish to accept such work), it shall be your responsibility to have a valid passport and to promptly supply to the Agent copies of any documentation it may require to assist you in procuring the relevant permit and/or visa. The Agent does not however guarantee any such permit and/or visa will be granted. You will promptly reimburse any of the Agent's expenses in connection with its procurement (and/or attempted procurement) of said visa and/or permit. It may be the case that a customer agrees to assist with work permits and/or visas, and if that is the case you will be notified of that fact. Notwithstanding anything to the contrary herein, the Agent does not have to assist with work permits and/or visas if it does not wish to.

Notwithstanding the foregoing, to the extent permitted by applicable Law or any collective bargaining agreement, in the event an applicable work permit for an MMIS Employee is not in place with Purchaser or its Affiliate as of the Transfer Time, such MMIS Employee shall be treated as an Inactive Employee hereunder and the parties shall reasonably cooperate to provide for the services of such MMIS Employee to be made available exclusively to Purchaser through an employee secondment, services or similar arrangement under which Purchaser shall be responsible for all the economic costs of such individual’s compensation and benefits (including reimbursement for any expenses incurred by such MMIS Employee, all applicable fees, Taxes and other amounts owed to third parties and all applicable social or national insurance contributions) for such service period until the applicable work permit can be obtained; provided, however, that Purchaser shall, and shall cause its Affiliates to, continue to use their reasonable best efforts to obtain the applicable work permit.
