University Representations. University represents and warrants as of the Effective Date of this Agreement that it: (a) has an ownership interest in the Patent Rights; (b) the list of the Patent Rights contained in Appendix A is accurate and complete in all respects; (c) has the right to grant the license in and to Patent Rights set forth in this Agreement; and (d) it has not granted any licenses under the Patent Rights which would conflict with the rights granted herein.
University Representations. The University agrees to provide the Student with room and board. The room shall be located in a residence hall provided by the University on the Queens campus (herein referred to as the “room”). To be eligible for housing with the University, the Student (a) must be officially enrolled and registered for nine or more credit hours and

To be eligible for housing with the University, the Student (a) must be officially enrolled and registered for a minimum of 12 (for undergraduate students) or nine (for graduate and law students) credit hours and (b) must be covered by private health insurance or purchase the University’s health insurance. If a student accepts an offer of full-time employment with the University, they are no longer eligible to live in University housing. While they may continue to pursue their education as a full-time student, their new primary affiliation as an employee prohibits their ability to reside in student housing.
University Representations. In connection with the proposed acquisition of the Stock, University hereby agrees and represents as follows:

University represents and warrants as of the Effective Date that: (a) its employees have assigned to University their entire right, title, and interest in the Patent Rights, (b) University owns all right, title, and interest in the Licensed IP; (c) the list of the Patent Rights contained in Appendix B is accurate and complete in all respects; (d) it has the right to grant the license in and to the Licensed IP set forth in this Agreement; (e) it has not granted any licenses under the Licensed IP which would conflict with the rights granted herein; and (f) there are no Patents (other than the Patent Rights) owned or Controlled by University on the Effective Date related to the. Field that would be infringed by Regulus by practicing the inventions claimed within the Patent Rights.
University Representations. The University represents and warrants to Licensee that, to the knowledge of either (i) the University’s Office for Technology Commercialization or (ii) with respect to Section 10.2.3 only, the Inventors, as of the Effective Date:

University represents and agrees that, based upon the description and information contained in Appendix A attached hereto, and contingent on the representations and warranties of Investigator in section 1.1 above, University does not have any ownership rights in or to the Intellectual Property, and that University shall not now, or while this Acknowledgement is in effect, claim any such ownership in the Intellectual Property.
