Unexcused Cause. Without limiting the generality of Section 14.5(b), a Force Majeure does not include any of the following (each, an “Unexcused Cause”): (1) the failure by Seller to obtain permits or approvals of any type to construct, operate or maintain the Facility or to construct, operate or maintain the Facility in accordance with this Agreement, except to the extent such failure was itself caused by an event of Force Majeure; (2) delays in or inability of a Party to obtain financing or other economic hardship of any kind, including a Party’s inability to pay amounts due to the other Party under this Agreement; (3) Seller’s ability to sell any Energy at prices in excess of those provided in this Agreement or Buyer’s ability to purchase any Energy at prices less than those provided in this Agreement; (4) Seller’s inability to complete the interconnection of the Facility by the Guaranteed Commercial Operation Date, unless such delay is caused by an event of Force Majeure; (5) a Forced Outage, except where such Forced Outage is caused by an event of Force Majeure; (6) curtailment or other interruption of any Transmission Service unless such curtailment or interruption was itself caused by an event of Force Majeure; (7) a Party’s inability to obtain or provide goods and services essential to a Party’s performance, unless such failure was itself caused by an event of Force Majeure; (8) Facility or related equipment failure of any kind, unless such failure was itself caused by an event of Force Majeure or by a manufacturer’s serial defect in such equipment; (9) any changes in the financial condition of Buyer, Seller, a Financing Party or any subcontractor or supplier affecting the affected Party’s ability to perform its obligations under this Agreement; or (10) a strike, work stoppage or labor dispute limited only to one or more of Seller, Seller’s Affiliates, Seller’s Subcontractors or any other third party employed by Seller to work on the Facility.

  • For Cause For a material breach that remains uncured for more than thirty calendar days or other specified period after written notice to the Contractor, the Contract or Purchase Order may be terminated by the Commissioner or Authorized User respectively, at the Contractor’s expense where Contractor becomes unable or incapable of performing, or meeting any requirements or qualifications set forth in the Contract, or for non-performance, or upon a determination that Contractor is non-responsible. Such termination shall be upon written notice to the Contractor. In such event, the Commissioner or Authorized User may complete the contractual requirements in any manner it may deem advisable and pursue available legal or equitable remedies for breach.

  • Good Reason The Executive's employment may be terminated by the Executive for Good Reason. For purposes of this Agreement, "Good Reason" shall mean:

  • Termination for Cause If Vendor fails to materially perform pursuant to the terms of this Agreement, TIPS shall provide written notice to Vendor specifying the default.
