Terms of Orders. All purchases of the Products by Distributor from Supplier during the term of this Agreement will be subject to the terms and conditions of this Agreement. In the event of any inconsistency between the terms of this Agreement and the terms of any purchase order, the terms of this Agreement shall control. Any terms of any purchase order in conflict with the terms of this Agreement are expressly rejected.
Terms of Orders. All purchases of the Products by Distributor from --------------- Cardima during the term of this Agreement shall be subject to the terms and conditions of this Agreement and to Cardima's published Standard Terms and Conditions of Sale as in effect at the time of such purchase, provided that in the event of any conflict between the terms of this Agreement and the Standard Terms and Conditions of Sale of Cardima then in effect, this Agreement shall be controlling. Distributor's purchase order forms shall be deemed to have no terms and conditions. Distributor disclaims any such terms and conditions and such disclaimer shall be deemed to be a continuing disclaimer throughout the term of this agreement. Without limiting the foregoing, all purchase orders submitted by Distributor to Cardima shall be subject to acceptance by Cardima at its offices in Fremont, California.
Terms of Orders. The terms of this Agreement are hereby incorporated by reference into each order of Product submitted by Cornerstone and accepted by Chiesi. In the event of any conflict between a Rolling Forecast or Purchase Order or other written instructions and this Agreement, the terms of this Agreement shall prevail.
Terms of Orders. All purchases of the Products by Distributor from Collagen during the term of this Agreement shall be subject to the terms and conditions of this Agreement and to Collagen's Terms and Conditions of Sale, provided that in the event of any conflict between the terms of this Agreement and the Terms and Conditions of Sale of Collagen, this Agreement shall be controlling. A copy of Collagen's Terms and Conditions of Sale is attached hereto as Exhibit B. Any printed or standard terms and conditions contained in Distributor's purchase order form shall be disregarded. All purchase orders submitted by Distributor to Collagen shall be subject to acceptance by Collagen at its offices at Palo Alto, California, which acceptance shall not be unreasonably held.
Terms of Orders. The only terms in a Purchase Order, submitted by Distributor and accepted by SDI, that are recognized under this Agreement are those that pertain to quantity, delivery dates and the Products ordered. No other terms that would modify the obligations of the parties under this Agreement are accepted.
Terms of Orders. The terms and conditions of this Agreement shall be the exclusive contract terms between the parties with respect to the modification of Medical Products by SURMODICS for MICROVENA. In no event will a purchase order serve as an acceptable Attachment A to this Agreement. The terms of this Agreement govern and prevail over any inconsistencies between this Agreement and the terms of any purchase order or acceptance document of either party. SURMODICS objects to any terms set forth in MICROVENA's purchase orders which are different from or additional to the provisions of this Agreement and no such different or additional terms shall be binding upon SURMODICS unless the parties agree to the contrary in a written document separate from the purchase order and signed by a corporate officer of both parties.

Terms of Orders. SJM Target Accounts shall submit to Cambridge (either directly or indirectly through SJM) executed purchase orders for the Products in accordance with Cambridge’s customary purchase order policies and procedures. Each purchase order shall include: (i) identification of the Products ordered; (ii) quantity; (iii) requested delivery date; (iv) shipping instructions and shipping address; (v) the Invoice Price; and (vi) customer acknowledgment of Cambridge’s Product return policy.
Terms of Orders. The terms and conditions in this Agreement shall be the exclusive contract terms between the parties with respect to KDPI's purchase of the Products. In the event of inconsistencies between the terms of this Agreement and the terms of any acceptance document, the terms of this Agreement shall govern. Sparta objects to any terms set forth in KDPI's orders for the Products which are different from or additional to the provisions of this Agreement, and no such terms shall be binding upon Sparta unless Sparta specifically consents thereto in writing.
Terms of Orders. The terms and conditions in this Agreement shall be the exclusive contract terms between the parties and Rupari's purchase of the Products. Sparta objects to any terms set forth in Rupari's orders for the Products which are different from or additional to the provisions of this Agreement, and no such terms shall be binding upon Sparta unless both parties specifically agree thereto in a separate writing.
